Governance Explanations

Form 990, Part VI, Section A, line 1A

There shall be an Executive Committee comprised of the President of the Board, Vice President, the Treasurer, Secretary, and the immediate Past President. This committee may be called into meeting at any time by the President, or in his or her absence by any member of this committee for study and discussion of any subject prior to a meeting of the Board of Directors, and in the interim between regular meetings of the Board, and in such instances when time and other extenuating circumstances prohibit a meeting of the entire Board, may perform the duties which would ordinarily come before that body. The committee shall prepare a proposed budget including revenue and expenses and shall present same to the Board of Directors for their consideration preceding the annual meeting. All discussions and/or action taken by the Executive Committee, whether or not it be in the nature of a definite commitment, must be approved and confirmed by the Board of Directors, even though such action or commitment has already been made by the Executive Committee.

The Organization's members are comprised of any person, association, corporation, non-profit, partnership, or estate having an interest in the objectives of the organization.

Form 990, Part VI, Section A, line 7A

Annually, on or before November 1st, a notice of vacancies to the Board of Directors for the coming year is to be published in the Chamber newsletter requesting nominations from the general membership. Nominations may be submitted to the office of the corporation in writing by any member in good standing on or before the 15th day of November. The Chief Executive Officer will provide applications to the Executive Board for their review and study of the qualifications of all nominees. They will submit to the President a maximum of five candidates for the vacant offices. This list of candidates will be provided to the Board of Directors for consideration and election prior to the end of December.

Once the draft of the 990 is provided to the Chamber, the CEO reviews with the Chamber Finance Manager. If no corrections need to be made, the draft is presented to the Executive Board for their approval. Final is supplied to the full board of directors and available to the membership.

Form 990, Part VI, Section B, line 12C

Board members and key employees receive the policy in January of each year. At each board meeting, the Board President asks the board members and key employees who are present to declare any conflict they may have with agenda items. If a conflict is declared, said board member is asked to abstain from voting on that issue.

Form 990, Part VI, Section B, line 15

Each year, the CEO works with the Finance Manager to prepare the annual budget. The CEO budgets annual compensation for employees and those compensations are discussed with the executive board. They make any recommendations and approve the budgeted line item. The President of the Board can deviate from the budget for increases to the CEO's compensation as they feel appropriate and have that approved by the Executive Board. If there are staff changes or adjustments, the CEO discusses that with the Executive Board as they occur within the year. In addition, the CEO and Executive Board may choose to deviate from the budgeted amount for compensation if they feel it necessary for the betterment of the organization.

The Chamber believes that it has appropriate support for any tax positions taken affecting its annual filing requirements and, as such, does not have any uncertain tax positions that are material to the financial statements. The Chamber would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

IRS990/Desc0The Aberdeen Area Chamber of Commerce has been an established voluntary non-profit membership organization since 1884. Today, we are 590 members strong with over 350 active volunteers that help facilitate and participate in the Chamber's activities and events. As a non-profit, 501(c)(6) corporation, the Chamber supports and speaks for those engaged in business, industry, agriculture, transportation, education, healthcare and private sector enterprises. In a nutshell, we seek to make commerce happen through business expansion and attraction, as well as the advocacy efforts that help improve business in our area.Our vision is to bring businesses and individuals together to build consensus on business issues and community goals. Our mission is to serve as the leading business advocate for the economic health and vitality of our membership, our community, and the greater Aberdeen area. The Chamber pursues its vision and mission by:- Serving the region as the central networking organization from which ideas, resources and assets can be drawn;- Unifying and advancing membership, community and regional interests;- Cultivating future leadership and advancing opportunities locally and regionally;- Educating businesses and individuals on workforce readiness and development issues; and- Promoting and encouraging growth of the membership, community, and area.The Chamber is funded by membership investments and event revenue. We facilitate several community-based programs and initiatives with the assistance of volunteers who serve within the committee structure. Committees include healthcare, workforce and education, transportation, agriculture, government affairs, community pride, military/veterans, the network (formerly young professionals), diplomats, and ambassadors. In addition, we host community events and several programs including, but not limited to, the ABBY Awards, the Community Champions Luncheon, New Teacher/Faculty Luncheon, Agriculture Appreciation Banquet, Business After Hours, Residential Cleanup, and the Community Gift Certificate Program.

This committee may be called into meeting at any time by the President, or in his or her absence by any member of this committee for study and discussion of any subject prior to a meeting of the Board of Directors, and in the interim between regular meetings of the Board, and in such instances when time and other extenuating circumstances prohibit a meeting of the entire Board, may perform the duties which would ordinarily come before that body. The committee shall prepare a proposed budget including revenue and expenses and shall present same to the Board of Directors for their consideration preceding the annual meeting. All discussions and/or action taken by the Executive Committee, whether or not it be in the nature of a definite commitment, must be approved and confirmed by the Board of Directors, even though such action or commitment has already been made by the Executive Committee.

The Chief Executive Officer will provide applications to the Executive Board for their review and study of the qualifications of all nominees. They will submit to the President a maximum of five candidates for the vacant offices. This list of candidates will be provided to the Board of Directors for consideration and election prior to the end of December.

At each board meeting, the Board President asks the board members and key employees who are present to declare any conflict they may have with agenda items. If a conflict is declared, said board member is asked to abstain from voting on that issue.

The CEO budgets annual compensation for employees and those compensations are discussed with the executive board. They make any recommendations and approve the budgeted line item. The President of the Board can deviate from the budget for increases to the CEO's compensation as they feel appropriate and have that approved by the Executive Board. If there are staff changes or adjustments, the CEO discusses that with the Executive Board as they occur within the year. In addition, the CEO and Executive Board may choose to deviate from the budgeted amount for compensation if they feel it necessary for the betterment of the organization.
