At such time as any matter comes before the board in such a way as to give rise to a conflict of interest, the affected director or any other director makes known the potential conflict, whether disclosed by the affected director's written statement or not, and after the affected director answers any questions that might be asked, he/she withdraws from the meeting for so long as the matter continues under discussion. Should the matter be brought to a vote, the affected director does not vote on it.”
