Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall consist of the officers of the board. The executive committee shall meet upon request of the president for the purpose of performing business, and may meet as often as necessary. The executive committee may exercise all the powers and authority of the board in the management of the business and affairs of the organization between board meetings. The executive committee shall not have power to amend the organization's charter, bylaws, or to fill board vacancies. The executive committee shall perform such other duties as may from time to time be delegated to it by the board. All action by the executive committee shall be reported at the next board meeting, except as the board may waive compliance with the requirement. The board may reconsider any action by the executive committee, and take action thereon, provided that no such reconsideration shall adversely affect the rights of third parties who have acted in reliance on action of the executive committee taken in accordance with the authority of these bylaws.

Aunt susie's cancer wellness center amended its code of regulations to make stewart's caring place, inc. Its sole member. Following this amendment, as the sole member, stewart's caring place, inc. Will have the rights and obligations to direct and manage the business and affairs of aunt susie's cancer wellness center.

The form 990 was reviewed by the finance committee and then presented to the board of directors via email for review and approval prior to filing. Directors were given one week to comment on the form 990 prior to filing.

Form 990, Part VI, Section B, Line 12C

The organization has a written conflict of interest policy that requires directors, officers, and key employees to disclose any actual or potential conflicts of interest. The policy provides that an interested person must disclose the existence of any financial or competing interest and all material facts to the governing board or committee. After disclosure and discussion, the interested person leaves the meeting while the remaining members determine whether a conflict exists. If a conflict is determined, the interested person may make a presentation but must leave during deliberation and voting. The board may appoint a disinterested person or committee to investigate alternatives. After exercising due diligence, the board decides whether the proposed transaction or arrangement is in the organization's best interest, fair, and reasonable. Only disinterested directors vote on the matter. The policy also requires annual disclosure statements and provides for disciplinary action if the policy is violated.

SERVICES INCLUDE HELP WITH HOUSEHOLD RESPONSIBILITIES, EMOTIONAL COMPANIONSHIP, AND ACCESS TO A NETWORK OF VOLUNTEERS MANY OF WHOM ARE SURVIVORS THEMSELVES WHO WALK ALONGSIDE CLIENTS THROUGH THEIR JOURNEY. BY PARTNERING WITH LOCAL HOSPITALS, AGENCIES, AND SERVICE PROVIDERS, AUNT SUSIE'S ENSURES THAT NO ONE FACES CANCER ALONE AND THAT FAMILIES CAN FOCUS ON HEALING WITH DIGNITY AND CARE. THESE EXPENSES ARE RELATED TO FOOD GIFT CARDS, SMALL PURCHASES FOR MEDICINES OR PERSONAL NEEDS, HOUSEHOLD CLEANING AND TRANSPORTATION.
