The return is prepared by the organization's outside public accounting firm based on information provided by management. Once management has reviewed the return and changes incorporated into the document, the return is then provided to the board of directors before filing.

Form 990, Part VI, Section B, Line 12C

The organization has a code of ethics that each officer, director, and employee has to sign when they commence their work with the organization. The code of ethics outlines a conflict of interest policy that requires employees to notify the governing body of any potential conflicts of interest and directors to notify officers if they encounter any potential conflict of interest. It is the responsibility of the governing body's officers to regularly monitor any potential conflicts during the year. Any director, officer, or key employee who has an interest in the proposed transaction, or who stands to gain from said transaction, shall abstain from participating in the board's vote and discussion on the matter, except as their information is required by the board to make a prudent inquiry into the transaction. A quorum of non-interested directors must be present for a vote on any such transaction, and absent sufficient uninterested directors to constitute a quorum, the contract, agreement, or other transaction will not be approved. In addition to conflicts of interest pertaining to tangible financial and material transactions, directors whose primary business is the sale or advisement of sales of art, or the representation in any capacity of artists and any or all other cultural producers, must recuse themselves from participating in any and all board activities and affairs that may lead to the acquisition of any form of actionable information that may result in real, potential, or perceived conflicts of interest.

The salaries, if any, of the officers shall be fixed from time to time by resolution of the board. The salary received by any officer of this corporation shall be reasonable and given in return for services actually rendered to the corporation that relate to the performance of the charitable or public purposes of this corporation. The executive committee is composed of the board chair, vice chair, secretary, controller, and the director/chief curator. The executive committee helps the board accomplish its work in the most efficient way by facilitating decision-making in between regularly scheduled board meetings or in the case of a crisis or other urgent circumstances. The committee is chair by the board chair and its meetings are scheduled as determined by the committee chair. Minutes of the meetings are recorded and submitted to the board secretary to include in the corporation's official records. The executive committee sets the agenda of board meetings and determines action items and other material business to be discussed by the full board. The executive committee, with the exception of the director/chief curator, organizes the yearly performance review of the executive managing officer of the corporation.
