“The return is prepared by the organization's outside public accounting firm based on information provided by management. Once management has reviewed the return and changes incorporated into the document, the return is then provided to the board of directors before filing.”
“The organization has a code of ethics that each officer, director, and employee has to sign when they commence their work with the organization. The code of ethics outlines a conflict of interest policy that requires employees to notify the governing body of any potential conflicts of interest and directors to notify officers if they encounter any potential conflict of interest. It is the responsibility of the governing body's officers to regularly monitor any potential conflicts during the year. Any director, officer, or key employee who has an interest in the proposed transaction, or who stands to gain from said transaction, shall abstain from participating in the board's vote and discussion on the matter, except as their information is required by the board to make a prudent inquiry into the transaction.
