“On june 27,2014 samuel norich entered into an employment agreement with the forward association, inc. Included in the terms of the agreement was a "subsequent compensation" clause, which continued and restated the terms of his previous employment agreements with the forward association going back to 2005, the eighth year of his employment, terms intended to compensate him, upon retirement, for the absence of any other employer-funded pension provision. While previous agreements provided for a lifetime annual payment to norich, the 2014 agreement recalculated the actuarial equivalent of such a stream of annual payments based on norich's age and life expectancy, and provided for the payout of this amount in three payments, as follows: if still employed by the forward association on 1/2/2015, he would receive a lump sum payment of $170,000; if he was still employed by the forward association on 1/2/2016, he would receive a lump sum payment of $200,000; and if he was still employed by the forward association on 1/3/2017, he would receive a lump sum payment of $327,000. These subsequent compensation amounts are included in his reportable compensation from the organization (w-2/1099-misc) in part vii compensation of officers, directors, trustees, key employees, highest compensated employees, and independent contractors.”
