“The members of weld shall consist of persons that (a) subscribe to and support the purposes of weld as described herein, (b) apply for and are approved for membership, (c) pay annual dues to weld in such amounts, if any, as the board determines, and (d) accept and abide by the articles of incorporation, code of regulations, and any terms and conditions as the board may establish from time to time.”

“Directors shall be elected at the annual meeting of members, or if not then elected, or if such meeting be not held at the time fixed therefore, then a special meeting of weld's members held for the purpose of electing directors. The board shall approve the slate, and the slate shall be delivered to the members along with the written notice of the meeting. At the meeting, the slate shall be approved, and the nominees composing the slate elected, upon the majority vote of the members.”

“Subject to the terms, conditions and limitations contained in the articles of incorporation and in the code of regulations, all voting members will be entitled to the rights and privileges designated by the board from time to time as associated with their level of membership.”

“The organization's form 990 is reviewed by the board treasurer and finance committee. Upon their review the form 990 is provided to the full board prior to submission to the internal revenue service.”

“Weld's governing body annually signs the conflict of interest policy during the january onboarding meeting. Throughout the year, the governing body is requested to notify the board if there are any actions by board, officers or members that do not comply with the conflict of interest. If a conflict of interest arises, the matter is dealt with immediately and appropriate action is taken by the governing body.”

“The organization's form 990 is available upon request. In addition, the governing documents, conflict of interest policy and financial statements are available upon request for public viewing.”

“The executive committee shall act in an oversight capacity monitoring and coordinating all weld activities, shall have the power to transact business not affecting the established policy and procedure of weld between the meetings of the board, and may exercise such other powers and duties as the board may delegate to it.”
