Form 990, Part VI, Line 12C Conflict of interest policy

Any director, officer or key employee has a responsibility to disclose to the board of directors an actual or potential conflict of interest in connection with a proposed transaction or arrangement of the organization. After disclosure of the conflict of interest and all material facts, the person with the potential conflict shall recuse themselves from any further discussion and voting. The remaining directors shall decide if a conflict of interest exists. After exercising due diligence, the board shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict. If a more advantageous transaction or arrangement is not reasonably possible, the board shall determine by a vote of the disinterested directors whether to enter into the transaction. If the board has reasonable cause to believe a director, officer or key employee has failed to disclose an actual or possible conflict of interest, it shall inform the individual of the basis for such belief and give the individual an opportunity to explain the failure to disclose. Each director, officer and key employee shall annually sign a statement affirming that the individual will comply with the conflict of interest policy.
