Mission and Program Overview

Mission

To support programs of charitable organizations, organized and operated exclusively for charitable purposes within the meaning of section 501 (c) (3) of the internal revenue code of 1986 as amended, that promote education, teamwork and self esteem among underserved youth throughout the oakland, san francisco and san jose areas. In support of this mission, the foundation makes contributions to nonprofit charitable and educational organizations of (a) tickets to team basketball games, which the grantee organizations can distribute as part of their charitable activities to underserved youth to provide them with the opportunity to attend a professional basketball game; and (b) grants, which take the form of either general support or specific support grants.

To support programs that promote education, teamwork, and self-esteem among underserved youth in the bay area.

On an annual basis, each member of the board of directors is required to sign a resolution which affirms that each director: has received a copy of the conflicts of interest policy; has read and understands the policy; has agreed to comply with the policy; and understands that the company is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax exempt purposes. If it is revealed that there is a potential conflict of interest transaction, then the board or a committee of the board may vote to approve the transactions, but first it must confirm that the transaction is in the best interest of the organization and after reasonable investigation under the circumstances, the board determines, in good faith, that the foundation could not have obtained a more advantageous arrangement with reasonable effort. Documentation of the results of the investigation shall be retained in the board minutes.

All compensation arrangements for the company's directors, officers, highest compensated employees and highest compensated independent contractors shall be approved in writing by a majority of the directors, excluding any director prohibited from participating in such decision pursuant to the company's conflict of interest policy, in advance of paying such compensation. PART X, LINE 2:

The foundation is exempt from income taxes under internal revenue code section 501(c) (3), and from state income tax under section 23701(d) of the california revenue and taxation code and is not classified as a private foundation. Accordingly, no provision for income taxes has been made in the financial statements. The foundation applied the accounting principles related to accounting for uncertainty in income taxes and has determined that there is no material impact on the financial statements. With some exceptions, the foundation is no longer subject to u.s. Federal or state income tax examinations by tax authorities for years prior to 2015.
