The entity is a member owned Corporation and its sole member created the entity as a 501(C)(2) real estate title holding entity with the rental receipts net of expenses and reserves from the property to be disbursed to the sole member. The sole member The Eugene and Marlaina Johnston Charitable Foundation, Inc is a 501(C)(3) Private Foundation.

The Directors are provided a copy of the Form 990 to review prior to filing.

Whenever a matter comes before the Board of Directors that may be construed as involving a conflict of interest, the matter is reviewed in context with the provisions of the Conflict of Interest Policy to ensure that there is compliance with its provisions. At least annually the directors review and discuss the Conflict of Interest Policy to insure that the governing members are familiar with its provisions and that Corporate operations are also in compliance.

Upon request the documents will be made available at the offices of the Corporation. The Governing documents and annual tax returns are also on file with the State of Oregon Corporation Division and Oregon Department of Justice.
