We have the following Conflict of Interest Policy in our bylaws:9.4 Conflict of Interest Policy The Board shall adopt a policy that requires directors, officers and key employees to disclose interests that constitute or could result in a conflict of interest. (the Conflict of Interest Policy). The Conflict of Interest Policy shall also specify, in accordance with Corporations Code Sections 5233 and 5234, the steps that must be taken by the Board to approve a decision or transaction that involves an actual or apparent conflict of interest. The Board shall regularly and consistently monitor and enforce compliance with the Conflict of Interest Policy. The policy is consistently monitored by the board.

(the Conflict of Interest Policy). The Conflict of Interest Policy shall also specify, in accordance with Corporations Code Sections 5233 and 5234, the steps that must be taken by the Board to approve a decision or transaction that involves an actual or apparent conflict of interest. The Board shall regularly and consistently monitor and enforce compliance with the Conflict of Interest Policy. The policy is consistently monitored by the board.
