“Ex-officio members of the board may attend all board meetings, but shall have no right to vote on any matter before the board and shall not be included in determining the presence or absence of a quorum of the board. The president shall be an ex-officio member of the board. The chair may recommend to the board, the approval of one or more additional individuals to serve as non-voting ex-officio members of the board, for a term to be recommended by the chair. At any one time there may be no more than two (2) ex officio members of the board (in addition to the president). The chair, chair-elect, past chair, president, vice president, treasurer and secretary shall constitute the executive committee of the board of directors. The executive committee shall possess all or such portion of the authority of the board of directors with respect to the management and control of sns and such other powers and duties as may be delegated to it by the board of directors. The executive committee meetings may be called from time to time by the chair on such terms and conditions as are reasonable to further the purpose and objectives of sns. (please note that the vice-president position is currently vacant.”

“Prior to filing, a complete copy of the form 990 is emailed to every member of the board of directors. The board has to approve the draft before it is submitted to irs by the tax accountant.”

“The purpose of the conflict of interest policy is to protect the interests of seattle nativity school ("sns") when it is contemplating entering into a transaction or arrangement that might benefit the private interest of an officer or director of sns or might result in a possible excess benefit transaction. An interested person is defined as "any director, principal officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest." in connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. The sns conflict of interest policy is distributed on a yearly basis.”

“The primary mission of the seattle nativity school (sns) is to break the cycle of poverty through education that nourishes souls and ignites leaders for love and service. The mission shall be accomplished through operation of a first-in-class middle school for students from economically disadvantaged backgrounds, operated in accordance with the basic tenets of the roman catholic faith in partnership and as articulated by the archdiocese of seattle and society of jesus. Sns is organized exclusively for charitable, religious, educational, and scientific purposes.”
