“Ex-officio members of the board may attend all board meetings, but shall have no right to vote on any matter before the board and shall not be included in determining the presence or absence of a quorum of the board. The president shall be an ex-officio member of the board. The chair may recommend to the board, the approval of one or more additional individuals to serve as non-voting ex-officio members of the board, for a term to be recommended by the chair. At any one time there may be no more than two (2) ex officio members of the board (in addition to the president). The chair, chair-elect, past-chair, president, vice president, treasurer, and secretary shall constitute the executive committee of the board of directors. The executive committee shall possess all or such portion of the authority of the board of directors with respect to the management and control of sns and such other powers and duties as may be delegated to it by the board of directors. The executive committee meetings may be called from time to time by either the chair or the vice chair on such terms and conditions as are reasonable to further the purpose and objectives of sns.”

“Seattle nativity school updated its bylaws in may of 2018 to include new roles including "board chair-elect, past-chair, and vice president" to enable planned, thoughtful succession and transition for the board chair. In addition, the vice president role was created to replace the former vice chair role.”

“Notes are taken at a majority of meetings for all sns committees, and sns plans to formally record and file minutes for committee and subcommittee meetings in the future.”

“Final version of form 990 will be distributed electronically to the board of directors for review and discussion as needed. Board members will have 1 week to submit comments or questions about the final version of the form before submission.”

“The purpose of the conflict of interest policy is to protect the interests of seattle nativity school ("sns") when it is contemplating entering into a transaction or arrangement that might benefit the private interest of an officer or director of sns or might result in a possible excess benefit transaction. An interested person is defined as "any director, principal officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest." in connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. The sns conflict of interest policy is distributed on a yearly basis at board meetings, and any possible conflicts are investigated immediately. Sns is continuing to define the process for ongoing monitoring of potential conflicts with any interested persons.”

“Sns does not currently make governing documents, conflict of interest policy, and financial statements available to the general public.”
