Governance Explanations

Form 990, Part VI, Section A, line 7A

The original five partner facilities shall have a standing seat on the Board of Directors based upon continued financial or in-kind support. These facilities are Avera St. Luke's, Aberdeen, SD; Lake Area Technical Institute, Watertown, SD; Northern State University, Aberdeen, SD; Prairie Lakes Healthcare System, Watertown, SD; and Presentation College, Aberdeen, SD. The partner facility may choose to surrender the standing seat and return it to an open seat on the board.

There are no committees with the authority to act on behalf of the governing board.

The Executive Director will review a draft of the Form 990 prior to filing. The draft will then be sent to the entire board for their review and comments.

Form 990, Part VI, Section B, line 12C

The governing board completes the conflict of interest policy on an annual basis in January. The completed forms are reviewed and retained by the Executive Director. Disclosure of conflicts of interest is also a standard agenda item for each board meeting. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. An interested person may make a presentation at the governing board committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest.

Form 990, Part VI, Section B, line 15A

Compensation of the executive director requires approval by the governing board. A comparability analysis was performed by the Board using information from neighboring states and similar positions prior to hiring the Executive Director in 2011. The discussions and decisions were noted in the board minutes. For annual compensation adjustments for the Executive Director, the board of directors completes a performance evaluation, the results of which are emailed to the Vice President of Human Resources at Avera St. Lukes and then discussed in executive session. Recommendations for salary adjustments are approved by the board of directors and noted in the board minutes.

Part X, Line 2:

NESD AHEC is are organized as a nonprofit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as organizations described in Section 501(c)(3). NESD AHEC believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The entities would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

IRS990/Desc0Northeast South Dakota Area Health Education Center (NESD AHEC) works to advance rural health educational opportunities and address impending rural workforce shortages, including an emphasis on the under-served population and those unique to our region.NESD AHEC cultivates an awareness of health careers as early as possible. We offer and collaborate on career exploration opportunities, internships and mentorships in Northeast South Dakota. We expand student knowledge of the prerequisites for admissions to health professions through career fairs, technology, and other opportunities including the initiation of Health Occupations Students of America. NESD AHEC supports those in health care and the community by specialized training sessions for high need areas including a Veteran's Mental Health Symposium, Aging Well Gerontology Conference, multiple first aid/CPR clinics, and many others.NESD AHEC works with entities throughout our region to meet their individual needs by coordinating and supporting placement of health profession students in NESD AHEC communities identifying shortage areas.We support current health professionals at the community level through continuing education, professional development activities, and other related activities.FY 2014 activities included:- 57 presentations, 7 health fairs and four new programs offered to schools- Over 4,025 students reached at activities- Over 13 students placed for shadowing activities- Over 2,258 adults reached at activities- Over 180 adults reached with continuing education credits- In conjunction with the VA hospital, SD National Guard, and many others lead the South Dakota Coalition for Military families symposium with over 100 attendees including the Lt. Governor of SD - Helped with the Tobacco Toolkit Conference- Assisted in statewide implementation of Inter-Professional Education in South Dakota- Sponsored students from our area at the USD Health Careers Camp- Coordinated and hosted Tribal Health Camp for Tribal students in our area- Hosted High School Scrubs and 7th grade Camp Med days- Hosted Aging Well Gerontology conference for over 65 professionals in our area- Hosted Certified Nurse Assistant training for students in our area- Assisted with travel for students to the national HOSA competition and SURE project (in conjunction with the tribe and medical school)- In conjunction with the American Society of Addition Medicine, helped host a free continuing education event about Opioid Safety- Developed and implemented a virtual high school class in conjunction with DIAL about Medical Lab Science to help increase awareness of the career and move health care into the high school arena through increased Career Tech Education - NESD AHEC was a lead along with many others on the implementation plan of chronic disease self-management, Better Choices Better Health in South Dakota.

NESD AHEC believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The entities would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

The completed forms are reviewed and retained by the Executive Director. Disclosure of conflicts of interest is also a standard agenda item for each board meeting. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. An interested person may make a presentation at the governing board committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest.

A comparability analysis was performed by the Board using information from neighboring states and similar positions prior to hiring the Executive Director in 2011. The discussions and decisions were noted in the board minutes. For annual compensation adjustments for the Executive Director, the board of directors completes a performance evaluation, the results of which are emailed to the Vice President of Human Resources at Avera St. Lukes and then discussed in executive session. Recommendations for salary adjustments are approved by the board of directors and noted in the board minutes.
