Governance Explanations

Form 990, Part VI, Section B, line 11

An outside public accounting firm works with the organization to pull the necessary information to complete the Form 990. The individuals involved with gathering the information at the organization review a draft Form 990 and the accounting firm makes any final changes. The final Form 990 is then reviewed and approved by the COO and is distributed to the members of the Board before filing.

Form 990, Part VI, Section B, line 12C

The organization has a separate written conflict of interest policy which was adopted by the Board of Directors in January 2012. According to the organization's conflict of interest policy, all board members and officers are required to complete a conflict of interest disclosure statement. The policy requires each body member to disclose a conflict on a particular matter that may arise, and recuse him or herself from deliberations and votes on such matters.

Form 990, Part VI, Section B, line 15

15a) The compensation for the President and Chief Executive Officer of the Organization, Patrick McClenahan, was determined by the board based on the following factors: -Level of compensation for Chief Executive Officers and Executive Directors of social service non profits in Los Angeles County which, though not performing the same exact functions as the Organization, were the closest comparables. The information was derived from various Form 990's, mainly for fiscal years ending in 2009, and showed compensation for the Organization's Chief Executive Officer below the mean among the group; -The need of the Organization for his services; -His background, education, training, experience and responsibilities; -The size and complexity of the Organization (as is more fully described in the Form 1023 application); -The amount of time he devotes to the Organization. The Organization will consider the above factors when setting the salaries for the remaining officers of the Organization with the philosophy that all salaries must be reasonable. 15b) When determining how salaries for key employees are established, the organization considers the factors listed above and maintains the philosophy that all salaries must be reasonable.

Form 990, Part VI, Section C, line 19

The organization's organizing & governing documents and the conflict of interest policy have been made available to the public. The organization has made available for public inspection upon request the 1023 application including those documents. The financial information is included in the organizations Form 990, which is available for public inspection upon request.
