Governance Explanations

The organization had a management agreement with embrace families inc., a not-for-profit agency, for administrative and management services. This agreement allowed for the effective leveraging of embrace families solutions' resources so that available funding can be prioritized for mission-critical serivces to children, youth/young adults, and families.

Form 990, Part VI, Section A, Line 4

The bylaws have been updated to reflect the name change and remove reference to the former, related entities as rise community solutions is no longer related to embrace families, inc. Rise community solutions is in the process of notifying all concerned parties regarding the name change. This process is expected to be completed by the end of 2025.

Form 990, Part VI, Section A, Line 7A

The number of directors of the corporation shall initially be five (5). The number of directors may be increased or decreased from time to time by resolution of the board of directors, provided the corporation shall always have at least three (3) directors and no more than eleven (11) directors. The members of the board of directors must be natural persons who are 18 years of age or older and florida residents.

The form 990 is first reviewed by the executive director. Following the ed's review, the insurance & audit committee reviews the 990. The insurance & audit committee consists of the chair and chair-elect (or immediate past chair) as well as other members designated from the general membership of the board. It is then presented to the full board of directors for approval prior to filing with the irs.

Competing or affinity organizations. 5. Donors or others supporting the agency. 6. Agencies, organizations and associations that affect the operations of the agency. 7. Family members, friends and other employees. A material conflicting interest may be defined as an interest, direct or indirect, with any persons and firms mentioned above. Such an interest might arise through: 1. Owning stock or holding debt or other proprietary interest in any third party dealing with the agency. 2. Holding office, serving on the board, participating in management or being otherwise employed (or formerly employed) in any third party dealing with the agency. 3. Receiving remuneration for services with respect to individual transactions involving the agency. 4. Using the agency's time, personnel, equipment, supplies, or good will for other than the agency approved activities, programs or purposes. Embrace families solutions, inc. 45-2843994 5. Receiving personal gifts or loans from third parties dealing with the agency. If a conflict of interest is determined persons may be prohibited from participating in the governing body's deliberations and decisions in the transactions. Board members are asked to complete a new conflict of interest form at the start of each fiscal year, and are likewise asked to update the form throughout the year should any of the above conditions change.

Financial Statement Notes

PART IV, LINE 2B:

The organization is a custodian for children who have had inpatient hospitalization and are receiving mental health services. Benefit payments and withdrawals are recorded as assets and liabilities and are not reflected in the accompanying statements of activities. Funds are maintained in separate bank accounts as required by funding sources and reflected on the accompanying statements of financial position as restricted cash.

PART X, LINE 2:

The organization follows accounting standards relating to accounting for uncertainty in income taxes. Management assessed whether there were any uncertain tax positions, which may give rise to income tax liabilities, and determined that there were no such matters requiring recognition in the accompanying financial statements.
