Governance Explanations

Form 990, Part VI, Section B, Line 11B

The board retains the services of an independent cpa firm to prepare the organization's form 990. The board president and the executive director review the completed form 990 prior to filing. A full copy of the 990 is subsequently provided to all voting members of the governing body.

Form 990, Part VI, Section B, Line 12

While the organization does not have a written conflict of interest policy, it does follow certain procedures if a conflict of interest arises. Depending on the specifics of the conflict, various actions could be taken with the goal of eliminating the conflict. An interested person may make a presentation at the board meeting, but after such presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement that results in the conflict of interest. The president of the board shall, if appropriate, appoint a disinterested person to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the board shall determine whether the organization can obtain a more advantageous with reasonable efforts from a person or entity that would not give rise to a conflict. If a more advantageous arrangement is not reasonably attainable under circumstances that would not give rise to a conflict, the board shall determine by a majority vote whether the arrangement is in the organization's best interest and fair and reasonable to the organization.

Form 990, Part VI, Section B, Line 15

The compensation of the organization's executive director is determined by the organization's board president and board treasurer and subsequently approved by the full board. Compensation is determined based on specific various services provided by the executive director during the year, including coordination of softball clinics and camps, tournaments and general softball operations. Furthermore, the compensation arrangements are determined at arm's length at rates the organization would pay to outsource the same services from unrelated parties. The process is documented.
