Governance Explanations

Form 990, Part VI, Section A, Line 1A

There was a committee formed of members of the board to conduct a review of the ceo. The committee's recommendations were presented to and voted on by the full board.

Form 990, Part VI, Section B, Line 11B

Once the 990 is completed in draft form, the ceo and board of directors will review prior to filing. The board will take formal action on acceptance of the 990 prior to submission to the irs.

Form 990, Part VI, Section B, Line 12C

Ecolibrium3's conflict of interest policy applies to the board, officers, management employees, those making purchasing decisions, and anyone who has proprietary information concerning ecolibrium3. Annual disclosure is required per our policy. If a conflict exists (none to date), the conflicted party will be excluded from decision making where there is a conflict. Depending on the nature of the conflict, this may involve abstention from a single vote to resignation from position. All business must be conducted in the interest of the organization and at arms length.

Form 990, Part VI, Section B, Line 15

The board reviewed the minnesota council of nonprofits annual benefits and salary survey and did a survey of other nonprofits in duluth in reviewing the ceo salary. The minnesota council of nonprofits annual benefits and salary survey is used to set employee compensation as well. The process described here was last completed in 2024.

Form 990, Part VI, Section C, Line 18

It is available in a binder in our office and submitted to candid.

THIS WILL IMPROVE HOUSING STOCK, ENHANCE HEALTH OUTCOMES, AND PROMOTE CLIMATE GOALS. ECOLIBRIUM3 ALSO ADVANCED LOCAL AND STATE APPROACHES TO LOWER CARBON ENERGY DEVELOPMENT AND CLIMATE RESILIENCE THROUGH THE ANALYSIS AND PLANNING OF AN INNOVATIVE GEO-EXCHANGE DISTRICT HEAT SYSTEM THAT COULD HEAT A LOW-INCOME NEIGHBORHOOD AND DOWNTOWN USING THE WASTE HEAT FOUND IN THE EFFLUENT OF THE WASTEWATER TREATMENT PLANT IN ECOLIBRIUM3'S ENVIRONMENTAL JUSTICE LINCOLN PARK NEIGHBORHOOD. PLANNING WAS ALSO CONDUCTED WITH COMMUNITY STAKEHOLDERS AND CRITICAL INFRASTRUCTURE REPRESENTATIVES FOR ADVANCING COMMUNITY RESILIENCE DURING GRID OUTAGES. IN ADDITION, ECOLIBRIUM3 WORKED WITH THE STATE OF MINNESOTA TO DESIGN AN ENERGY NAVIGATOR SYSTEM TO ASSIST HOUSEHOLDS IN REDUCING ENERGY BURDENS THROUGH APPLICATION OF EFFICIENCY AND RENEWABLE ENERGY INCENTIVES. FINALLY, ECOLIBRIUM3 PARTNERED WITH THE NATIONAL RENEWABLE ENERGY LAB TO ENGAGE STAKEHOLDERS REGARDING THE TECHNICAL AND ECONOMIC FEASIBILITY OF INDUSTRIAL DECARBONIZATION, SPECIFICALLY THE POTENTIAL OF GREEN IRON/STEEL PRODUCTION IN NORTHEASTERN MINNESOTA.
