“The affairs of the foundation are managed by a board of directors consisting of nine (9) persons. Prior to april 15 of each year, the current board members shall elect seven (7) directors to serve for the following fiscal year. In addition, the boards of directors of the ballenisles community association, inc. ("bica") and the ballenisles country club, inc. ("bicc") shall appoint one (1) of their members to serve as a director of the charities foundation for the upcoming fiscal year. These two (2) appointees shall occupy the position on the board of the prior year's bica and bicc appointees.”
