The corporation was created by wisconsin housing and economic development authority, which is the sole member of the corporation.

Form 990, Part VI, Section A, Line 7A

The by-laws are attached and specifically state that both wheda and impact seven inc will have two voting members on the board. Gwof is a wholly owned subsidiary of wheda for purposes of the nmtc application.

Wheda established a nmtc committee that reviews deals and then forwards them on to the gwof board for approval. The nmtc committee reports their activity back to the wheda board. In addition, the wheda board approves the appointment of new members to the gwof board and also approves the submission of an application for nmtc to the cdfi.

The company is exempt from federal income taxes under the provisions of section 501(c)(3) of the irc and did not have any unrelated business income for years ended december 31, 2024 and 2023. The company is required to and does file tax returns with the internal revenue service ("irs") and other taxing authorities. Income tax returns filed by the company are subject to examination by the irs for a period of three years. While no income tax returns of the company are currently being examined by the irs, tax years since 2021 remain open. For income tax purposes, the company reports on a calendar year basis.
