The 990 is prepared by cliftonlarsonallen with information provided by the finance department of the moorings park institute, inc. Management reviews the 990 and provides a copy to all board members prior to presentation in draft to the audit committee of the moorings park institute, inc. Upon committee approval the 990 is filed.

Form 990, Part VI, Section B, Line 12C

Each year, each key employee and director has to sign a new conflict of interest disclosure statement. In addition, the minutes reflect the disclosure of any real or perceived conflict. The executive director of human resources monitors this policy on an ongoing basis.

Outside consultants are used on a regular basis and recurring basis. The hay group was used in 2012. Consultants are used when major executive contracts are modified or changed. During the interim years the organization obtains the leadingage-cemo leadship compensation survey to monitor compensation trends. The management & development committee documents the findings. The audit committee and the full board review and approve contracts prior to signing.

Conflict of interest statements signed by the board of directors are kept on file and submitted to the state office of insurance regulation upon request. PART X, LINE 2:

The organization as described in section 501(c)(3) of the internal revenue code (the "code") is exempt from federal and state income taxes on related income pursuant to section 501(a) of the code, and is not classified as a private foundation. The organization's income tax returns are subject to review and examination by federal and state authorities. The organization's income tax returns for 2010, 2011 and 2012 are open for inspection by taxing authorities. The organization is not aware of any activities that would jeopardize its tax-exempt status. The organization follows the income tax standard for uncertain tax positions. This standard clarifies the accounting for uncertainty in income taxes recognized in an organization's financial statements in accordance with the income tax standard. This standard prescribes recognition and measurement of tax positions taken or expected to be taken on a tax return that are not certain to be realized. The implementation of this standard had no impact on the organization's financial statements for the years ended december 31, 2013 or 2012.

THE ORGANIZATION'S INCOME TAX RETURNS ARE SUBJECT TO REVIEW AND EXAMINATION BY FEDERAL AND STATE AUTHORITIES. THE ORGANIZATION'S INCOME TAX RETURNS FOR 2010, 2011 AND 2012 ARE OPEN FOR INSPECTION BY TAXING AUTHORITIES. THE ORGANIZATION IS NOT AWARE OF ANY ACTIVITIES THAT WOULD JEOPARDIZE ITS TAX-EXEMPT STATUS. THE ORGANIZATION FOLLOWS THE INCOME TAX STANDARD FOR UNCERTAIN TAX POSITIONS.
