The sole member of the corporation is highlands-cashiers hospital, inc., a north carolina nonprofit corporation.

Form 990, Part VI, Section A, line 7A

The board of directors shall be comprised of three designated directors from the board of the sole member, two additional members who are currently licensed to practice medicine in the state of north carolina and employed by the organization.

The member may act without a meeting. Such action shall be evidenced by a written consent signed by an individual designated by the member pursuant to the bylaws or, in the absence of such designation, by the chairperson of the board of the member, before or after such action, describing the action taken, which consent shall be delivered to the corporation and shall be included in the corporation minutes or filed with the corporate records.

If a conflict exists, the interested person may not vote nor be involved in the discussion of the transaction or arrangement involving a possible conflict of interest. If a member has failed to disclose actual or possible conflicts of interest, the governing board or committee will take appropriate disciplinary and corrective action. The Organization conducts period reviews to insure it operates in a manner consistent with its charitable purposes and does not engage in activities which could jeopardize its tax-exempt status. The reviews include at a minimum, compensation arrangements and benefits; and partnerships and joint ventures
