We do this in two ways: first, we research and communicate to businesses, policy makers, and the media how a sustainable economy based on broad prosperity is good for business and good for america. Second, we provide a platform that enables businesses and business associations to engage executives, owners, investors, entreprenuers, and other business professionals in the public debate.

A copy of the Form 990 is distributed to each officer prior to electronically filing with the Internal Revenue Service.

Form 990, Part VI, Section B, line 12C

Definition of Conflicts of Interest A conflict of interest will be deemed to exist whenever a director, officer or employee of the corporation is in the position to approve or influence corporation policies or actions which would or might financially benefit or harm: (a) the individual; (b) any member of the individual's immediate family (spouse, parents, children, brothers or sisters, and spouses or domestic partners of these individuals); or (c) any organization in which the individual or an immediate family member is a director, trustee, officer, member, partner or has or controls more than 10% ownership interest. Disclosure of Conflicts of Interest A director or officer shall disclose to the board any actual or potential conflict of interest as soon as possible after the director or officer learns of the conflict. If the matter is before a committee, the action or transaction in question shall be referred to the board and no further action on the matter shall be taken until the matter can be considered by the board. Approval of Contracts and Transactions Involving Potential Conflicts of Interest Following receipt of information concerning an action or transaction involving an actual or potential conflict of interest, the board shall consider the material facts concerning the proposed action or transaction. The board shall approve only those actions or transactions in which the terms are fair and reasonable to the corporation and the arrangements are consistent with the best interests of the corporation. The board shall set forth the basis for its decision with respect to approval of actions or transactions involving conflicts of interest in the minutes of the meeting at which the decision is made, including the basis for determining that the action or transaction is fair to the corporation. Validity of Actions Involving Conflicts No action or transaction of the corporation in which one or more of its directors, officers, or employees has an actual or potential conflict of interest shall be either void or voidable for this reason alone of by reason alone that such director(s) or officer(s) are present at the meeting of the board which authorizes the action or transaction, provided that the material facts as to such director or officer's interest in such action or transaction were disclosed to the board prior to the vote and the transaction was approved by a vote sufficient for such purpose without counting the vote or votes of any interested director. Interested directors may be counted in determining the presence of a quorum at a meeting of the board which authorizes such contract or transaction. At the time of the discussion and decision concerning the authorization of such contract or transaction, the interested director or officer should not be present at the meeting.

Form 990, Part VI, Section B, line 15

Directors shall not receive any compensation for their service on the board. The board may, however, preside by resolution that actual and necessary expenses of attendance at any meeting of the board or any committee thereof may be reimbursed upon written request. Directors may also be paid reasonable compensation for services rendered to the corporation in another capacity, provided that such compensation is approved by the board.

Part X, Line 2:

The Organization evaluates uncertainty in income tax positions taken or expected to be taken on a tax return on a more-likely-than-not recognition standard. If that threshold is met, the tax position is then measured at the largest amount that is greater than 50% likely of being realized upon ultimate settlement and is recognized in the Organization's financial statements. As of December 31, 2024, there are no accruals for uncertain tax positions. If applicable, the Organization records interest and penalties as a component of income tax expense. Tax years from 2021 through the current year remain open for examination by tax authorities.

The diversity of sectors and geographies has also increased tremendously.Building New Business OrganizationsBesides working to strengthen existing member organizations ASBN has endeavored to build new organizations where none existed including Ohio and Iowa. We also have worked to build statewide associations bringing together business organizations to build a greater power in their state including North Carolina, New York and Kentucky.OSHAASBN has submitted business nominations to the U.S. Department of Labor for the National Advisory Committee on Occupational Safety and Health (NACOSH). ASBN has submitted ten business leaders to participate in the OSHA small business review panel to review the injury and illness prevention program.Department of EnergyCoordinated with our business supporters, ASBN coordinated a series of meetings with U.S. Department of Energy, Environmental Protection Agency, and others from the White House on the potential for advancing biobased and renewable chemicals.Communications and MediaASBN continues to garner increasing press coverage. We have now reached the credibility level where we are regularly contacted by media outlets like the Washington Post, Politico, and The Hill for access to our business leaders. Some of the selected highlights include:Workplace IssuesASBN continued to build its business support for good/sustainable workplaces. ASBN has also provided identification, outreach, education, and engagement of business leaders across sectors and across the country on earned/paid sick days and minimum wage. ASBN has begun exploratory work to understand the latest tools and systems being created by cutting edge businesses to create more democratic, healthy and safe work environments.Safer Chemicals and Sustainable Materials:Our efforts focused on making the jobs, business, and general economic case to support environmental health issues from regulations of hazardous chemicals to driving toward green chemistry and sustainable materials.Regulations:We have mounted a strong educational effort in support of good regulations. Our work focuses on making the case for why environmental regulations, particularly clean air and water rules, make good business sense to small and midsized companies.Keystone Pipeline: ASBN has educated small and midsized companies about the economic case of construction of the transborder pipeline linking business voiced environmental health, environmental, and economic arguments.
