“Due to the nature of nrhi's membership, from time to time certain board members may represent an organization that has a business relationship with an organization represented by another board member.”
“Network for regional healthcare improvement has three (3) categories of members: - full members are regional health improvement collaboratives defined as: - a nonprofit organization; - working to improve healthcare quality and value through an active program of quality measurement and public reporting or an active program of quality improvement, or both; - in a specific geographic region of the country (typically either a metropolitan region or state); - through a collaborative effort of healthcare providers and other stakeholders. - the organization must have representation from four types of stakeholders on its board: a. Healthcare providers (hospitals, physician groups, physicians, home health agencies, nursing homes, clinics, etc.); b. Healthcare purchasers (employers who purchase health insurance for their employees, state agencies who contract with health plans for care, etc.); c. Healthcare payers (private health insurance plans, state medicaid agencies that directly pay for care, etc.); and d. Healthcare consumers or consumer organizations. - state/regional affiliated partners are defined as: - an organization that does not meet the full membership criteria, but meets the criteria set forth below, may join nrhi as a regional/state affiliated partner. - be committed to improving health and health care in the us through multi stakeholder collaboration. - be a regional/state partner (local or state data vendors, regional or state philanthropies, local or state employers, regional industry or trade association, local or state governments); and - national affiliated partners are defined as: - be committed to improving health and health care in the us through multi stakeholder collaboration; - be a national affiliated partner (national data vendors, philanthropies, national employers, national industry or trade associations, or federal government agencies); and”
“Full members in good standing have the option to serve on the board of directors of nrhi. If there are more than twenty (20) full members who wish to serve on the board, then the board of directors may develop and institute an election process to select a subset of the full members who wish to serve on the board. If the board has not instituted an election process, then the ceos/executive directors of all full members who wish to serve will serve on the board of directors for the next twelve month period from june 1 through may 31 of the following year.”
“The form 990 is prepared by an independent outside accounting firm and reviewed by the cfo and the president & ceo. It is then distributed to the full board of directors before it is filed with the irs.”
“At the start of each board meeting, the chair or compliance officer solicits all board members to disclose any potential, perceived or actual conflict of interest. On an annual basis, all board members review and sign conflict of interest forms. These forms require that board members immediately disclose to the full board any interest in a transaction or a potential conflict that may arise. Upon disclosure, the full board would determine whether a conflict exists and how to proceed.”
“The board of directors sets the compensation for nrhi's president & ceo. In doing so, the board sets the compensation based on amounts paid by similiar tax-exempt organizations for similar services, as well as the president & ceo's experience and performance. The board annually approves the president & ceo's compensation arrangement in advance, and the terms and date of the arrangement is documented in writing. All other officers and key employees' performance and compensation is reviewed and approved by nrhi's ceo.”
“The organization fully complies with all legal disclosure requirements and makes its governing documents, conflict of interest policy, and financial statements available upon request.”
“Due to the nature of the organization's grant revenue and its solicitation process a comparatively small amount of expenses have been allocated to fundraising purposes in form 990, part ix, column d. The organization's grant revenue is typically earned over a 2-5 year grant cycle period. Thus, solicitation efforts for the amounts reported as grants in form 990, part viii, line 1 and the related expenses were incurred in prior 990 reporting periods. As grant terms expire and become up for renewal, the organization's familiarity and existing relationships with those funding sources have allowed the organization to not have to extend significant overhead beyond fractional staff time and an independent contract grant writer in an effort to secure additional funds. The organization closely reviews its expenditures each year to ensure expenses are appropriately and accurately allocated on form 990, part ix.”
“The audit process has not changed since the prior year.”
“The organization is a not-for-profit organization exempt from federal and state income taxes under internal revenue code section 501(c)3. Effective january 1, 2018, the organization became subject to unrelated business income tax related to employee parking benefits as a result of the 2017 tax cuts and jobs act. This regulation was repealed in 2020. The organization recorded $4,419 in unrelated business income tax refunds for the year ended december 31, 2019, and $4,419 in business income tax for the year ended december 31, 2018.”

| IRS990/Desc | 0 | GETTING TO AFFORDABILITY NRHI AND ITS MEMBERS LONG RECOGNIZED THE NEED FOR HIGH-QUALITY, COMPARATIVE DATA ON HEALTHCARE SPENDING. WORKING COLLABORATIVELY AND WITH THE SUPPORT OF THE ROBERT WOOD JOHNSON FOUNDATION, THEY BEGAN TO PRODUCE IT AND CONTINUE TO SPREAD THEIR EXPERTISE AND APPROACH TO INCREASING PRICE TRANSPARENCY. BEGINNING IN 2013, NRHI INTENSIFIED ITS FOCUS ON MAKING HEALTHCARE MORE AFFORDABLE THROUGH AN INITIATIVE NOW KNOWN AS GETTING TO AFFORDABILITY (G2A). SUPPORTING SIX OF ITS MEMBERS IN MEASURING AND REPORTING ON DIFFERENCES IN TOTAL COST OF CARE AND THE IMPACT OF PRICE AND RESOURCE USE HAS BEEN A CORE PART OF NRHI'S WORK. IN ADDITION TO PRODUCING THREE ROUNDS OF NATIONAL TOTAL COST OF CARE BENCHMARKS, REGIONS HAVE MEASURED AND REPORTED THREE YEARS OF HEALTHCARE COST INFORMATION ON OVER 5 MILLION PATIENTS ATTRIBUTED TO APPROXIMATELY 20,000 INDIVIDUAL PHYSICIANS. THIS COMPARATIVE COST DATA INFORMS STATE LEGISLATURES AND STATE AGENCY LEADERS TO DEVELOP POLICIES TO SUPPORT MORE AFFORDABLE HEALTHCARE. PRIMARY CARE PRACTICES USE THE INFORMATION TO IDENTIFY AREAS AND STRATEGIES FOR IMPROVING HEALTH AND REDUCING COSTS. HEALTH PLANS CAN USE THE INFORMATION TO DRIVE IMPROVEMENT AND CREATE BENEFIT DESIGNS THAT ENCOURAGE USE OF COST EFFICIENT PRACTICES. DOZENS OF LEADING NATIONAL AND LOCAL EMPLOYERS ARE MORE AWARE OF THE VARIATION IN COST ACROSS PROVIDERS AND USE THE INFORMATION TO MAKE SURE THEY ARE GETTING VALUE FOR THEIR HEALTHCARE DOLLARS. SOME REGIONS PRODUCE CONSUMER FACING ON-LINE TOOLS TO BETTER INFORM PATIENT CHOICE OF PROVIDERS. OVER A FIVE-YEAR PERIOD A TOTAL OF 19 REGIONS PARTICIPATED IN THE PROJECT IN VARYING CAPACITIES ALL WITH THE GOAL OF ADVANCING COST TRANSPARENCY IN THEIR REGION TO ENABLE ALL STAKEHOLDERS TO MAKE MORE INFORMED DECISIONS ABOUT THEIR HEALTHCARE SELECTION. THIS INFORMATION IS ESSENTIAL TO INFORM STRATEGY, SHAPE POLICY AND ENABLE INTERVENTIONS TO IMPROVE HEALTH AND REDUCE COST VARIATION. |
