Governance Explanations

Form 990, Part VI, Section A, Line 6

There are five (5) classes of members; the rights, privileges, and obligations of each member is set forth in the bylaws. The classes of members are (1) full members, (2) associate members, (3) platform members, (4) affiliate members, and (5) alliance partners, and such other classes and subclasses as the board of directors may create.

Form 990, Part VI, Section A, Line 7A

The board may elect someone other than a representative of a full member to serve as director with a two-thirds majority vote approving such election.

Form 990, Part VI, Section B, Line 11B

The 990 was approved by the executive director and forwarded to the board after filing.

Form 990, Part VI, Section B, Line 12C

Directors, officers and employees have an affirmative duty to identify potential conflicts of interest and act to avoid the conflict. Where a conflict of interest exists, the individual must actively address the conflict and deal with it in cooperation with the association. Among the alternatives, depending on the immediacy and seriousness of the conflict are: notification to the corporate secretary and pledge to be objective, recusal from a specific decision, and possibly even resignation.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available upon request.
