Copies of the completed draft Form 990 (including required schedules) are distributed to the Chief Executive Officer and Chief Operating Officer for review and approval. Any questions or concerns are noted and addressed by CDE Foundation's staff to ensure that changes are incorporated into the Form 990 as deemed appropriate.After all input has been appropriately addressed, the Form 990 is filed and the final version of the Form 990 (with required schedules) is distributed to every member of the Board of Directors.

Employees are required to disclose potential conflicts of interest and sign a conflict of interest statement annually. Disclosures are reviewed by management which is responsible for follow-up.

Form 990, Part VI, Section B, Line 15A

Any paid employee or Officer compensation will be determined by the Board of Directors. The panel of the Board of Directors approving the compensation must be composed entirely of individuals unrelated to the person or persons involved. When determining compensation, the Board shall consider whether the proposed compensation is reasonable when compared with similarly-situated organizations for functionally comparable positions taking into account the location of the geographic area. The Board of Directors shall set forth in the resolution approving the transaction the basis for its determination that the compensation is reasonable based upon the evidence presented. The resolution shall be filed by the Secretary in the minutes book of the corporation.

OTHER PROGRAM SERVICES 4: CDE Foundation serves as a fiscal manager for the California Department of Education (CDE) and provides fiscal oversight and grants management for a large number of grants. The primary programs CDE Foundation supported as a fiscal manager during FYE 6.30.24 include Blue Shield of CA funded Youth Mental Health programs, Gates Foundation funded Cradle to Career data, Math Framework and Career Pathways initiatives, Sobrato Foundation funded Multilingual support, College Futures Foundation funded Dual Enrollment initiative, among others. OTHER PROGRAM SERVICES 5: California Family and Community engagement Initiative:The California Family and Community Engagement Initiative (CA FACE), led by the CDE Foundation and supported by the California Department of Education, is committed to statewide leadership, guidance, and support in promoting family and community engagement empowering educators, county offices of education, local education agencies, and families to build strong two-way home-school partnerships.We accomplish this in three key ways. 1) Increase awareness of family engagement resources and best practices to empower Local Education Agencies (LEAs) and County Offices of Education (COEs) to foster positive home/school partnerships that bolster student outcomes. 2) Advocate for culturally responsive family engagement policies and practices at the local, county, and state levels. 3) Expand access to evidence-based family engagement resources, support, and promising practices for and from LEAs, COEs, and Statewide Family Engagement Partner organizations.Total program expenses were: $236,144 OTHER PROGRAM SERVICES 6: Educator Workforce Investment Grant for Computer Science (EWIG): Our STEAM Initiatives team is a partner with UCLA, Sacramento County Office of Education and the San Bernardino County Office of Education in supporting the State EWIG program for computer Science. We support the implementation of the Seasons of CS professional learning effort, a research-backed professional learning program for teachers, paraprofessionals, administrators, and counselors working in California public schools. Part X : FIN48 Footnote

The Foundation is exempt from Federal income taxes under Section 501(c (3) of the Internal Revenue Code and California income taxes under section 23701(d) of the California Revenue and Taxation Code. The Foundation is required to pay an annual filing fee to the State of California and other states it operates in.The Foundation has adopted Financial Accounting Standards Board Accounting Standards Codification (ASC) Section 740-10, which clarifies the accounting for uncertainty in income taxes. ASC Section 740-10 prescribes a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. ASC Section 740-10 requires that an organization recognize in the financial statements the impact of the tax position if that position will more likely than not be sustained on audit, based on the technical merits of the position. As of and for the year ended June 30, 2024, the Foundation had no material unrecognized tax benefits, tax penalties or interest.The Foundations Forms 990, Return of Organization Exempt from Income Tax, for each of the tax years ended June 30, 2023, 2022, and 2021, are subject to examination by the IRS, generally for 3 years after they were filed.The Foundations Forms 199, California Exempt Organization Return, for each of the tax years ended June 30, 2023, 2022, 2021, and 2020, are subject to examination by the Franchise Tax Board, generally for 4 years after they were filed.

The Foundation is required to pay an annual filing fee to the State of California and other states it operates in.The Foundation has adopted Financial Accounting Standards Board Accounting Standards Codification (ASC) Section 740-10, which clarifies the accounting for uncertainty in income taxes. ASC Section 740-10 prescribes a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return. ASC Section 740-10 requires that an organization recognize in the financial statements the impact of the tax position if that position will more likely than not be sustained on audit, based on the technical merits of the position.
