“Following full disclosure of a possible conflict of interest, the Board of Directors determines whether a conflict of interest exists and, if so, the Board votes to authorize or reject the transaction or take any other action deemed necessary to address the conflict and protect JWJs best interests. Both votes must be by a majority vote without counting the vote of any interested Director, even if the disinterested Directors are less than a quorum, provided that at least one consenting Director is disinterested.”

“Jobs with justice has a cost sharing agreement with jobs with justice education fund, a 501c(3) organization with which it shares management and common goals, though the two organizations are not related organizations for form 990 purposes. The amount reported on line 24e of part ix is the organizations share of the costs borne by the two organizations in carrying out their work during the year. Included in the cost sharing agreement would be amounts paid for work done by the organizations executive director, who is compensated by jobs with Justice education fund.”
“The Organization follows the Financial Accounting Standards Board Accounting Standards Codification, which provides guidance on accounting for uncertainty in income taxes recognized in The Organizations financial statements, if any. As of year end, The Organization had no unrecognized tax benefits related to uncertain tax positions in its information return that would qualify for either recognition or disclosure in its financial statements.The Organizations policy would be to recognize interest and penalties on tax positions related to its unrecognized tax benefits in income tax expense in the financial statements. Through year end, there have been no matters that would have resulted in an accrual for interest and/or penalties.”
