Governance Explanations

Form 990, Part VI, Section A, Line 2

Form 990, part vi, section a, line 2 - eric paine was appointed as a vice president of strategic partnership in october 2022, with approval from the board. Eric recieved a salary of $155,866 in 2023. Eric is the son of david paine, president and reports directly to jay winuk.

Form 990, Part VI, Section B, Line 11B

Form 990 is reviewed annually at the board meeting. The preparer sends a copy of the 990 to the organization for review. The executive director works with the outside accountant to ensure accuracy. Then the 990 is sent to the board of directors for review.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy is signed annually by the members of the board and reviewed by the president of the board. If there is an apparent conflict of interest, it is investigated immediately. An interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the board of directors to review the proposed transaction or arrangement. If the president has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, they shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after further investigation, the president determines if the member has failed to disclose an actual or possible conflict of interest. If deemed guilty, the president shall take appropriate disciplinary and corrective action.

Form 990, Part VI, Section B, Line 15

Each year, a committee to be designated as the "compensation committee" consisting of the chairman of the board, president (except in the case if his/her compensation if any), the treasurer, and one non-compensated board member, shall convene to review, modify as needed, and approve the compensation to be paid in the next fiscal year to any directors who are interested persons, as well as any key employees of the corporation. In reviewing compensation, this committee shall take into account competitive compensation for similar services, or similarly experienced executives in the nonprofit sector, the importance of these individuals to the organization, and other factors deemed significant by the committee. This review and approval process shall be completed by this committee prior to the end of each fiscal year, such that its decisions can be reflected in the overall annual operating budget of mygooddeed for the next fiscal year.

Financial Statement Notes

PART X, LINE 2:

Schedule d, part x, line 2 - the organization has been organized as a california nonprofit corporation and has been recognized by the irs as exempt from federal income taxes under irc section 501(a) as organizations described in irc section 501(c)(3), qualify for the charitable contribution deduction, and have been determined not to be private foundations. The organization is annually required to file a return of organization exempt from income tax (form 990) with the irs. In addition, the organization is subject to income tax on net income that is derived from business activities that are unrelated to their exempt purposes. The organization determined it is not subject to unrelated business income tax and has not filed an exempt organization business income tax return (form 990t) with the irs. Management believes that each entity has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The organization would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.
