Mission

Jsdc was organized to develop employment to improve business conditions and advance the interests of the city of jamestown and stutsman county, north dakota by implementing and sustaining an organized effort to attract new businesses and industry, support existing businesses and industry, and encourage new business starts. Jamestown/stutsman development corporation's focus is primary sector job creation.

Financial Statement Notes

PART IV, LINE 2B:

Jsdc receives money from the city of jamestown and stutman county, which is then loaned to businesses for economic development under the pace and flex pace loan programs and new jobs training loan program. Jsdc has entered into an agreement with the city and county that all loan payments, including principal and interest, and any other funds received by the corporation shall be returned to the city and county based upon their proportion of the initial contribution.

PART X, LINE 2:

Income taxes the corporation is a not-for-profit organization and has been recognized as tax-exempt pursuant to section 501 (c)(6) of the u.s. Internal revenue code. The association is a limited liability company and has elected to be taxed as a partnership. Income taxes of the association are payable by the members share of partnership earnings. Therefore, the organization is not subject to income tax for corporation related activities, however it is subject to unrelated business income tax on its portion of taxable income of the association. The corporation's policy is to evaluate the likelihood that uncertain tax positions will prevail upon examination based on the extent to which those positions have substantial support within the internal revenue code and regulations, revenue rulings, court decisions, and other evidence. Accounting for uncertainty in income taxes it is the opinion of management that the corporation and association have no uncertain tax positions that would be subject to change upon examination. The federal and state income tax returns of the corporation and the association are subject to examination by the irs, generally for three years after they were filed.

THE ASSOCIATION IS A LIMITED LIABILITY COMPANY AND HAS ELECTED TO BE TAXED AS A PARTNERSHIP. INCOME TAXES OF THE ASSOCIATION ARE PAYABLE BY THE MEMBERS SHARE OF PARTNERSHIP EARNINGS. THEREFORE, THE ORGANIZATION IS NOT SUBJECT TO INCOME TAX FOR CORPORATION RELATED ACTIVITIES, HOWEVER IT IS SUBJECT TO UNRELATED BUSINESS INCOME TAX ON ITS PORTION OF TAXABLE INCOME OF THE ASSOCIATION. THE CORPORATION'S POLICY IS TO EVALUATE THE LIKELIHOOD THAT UNCERTAIN TAX POSITIONS WILL PREVAIL UPON EXAMINATION BASED ON THE EXTENT TO WHICH THOSE POSITIONS HAVE SUBSTANTIAL SUPPORT WITHIN THE INTERNAL REVENUE CODE AND REGULATIONS, REVENUE RULINGS, COURT DECISIONS, AND OTHER EVIDENCE. ACCOUNTING FOR UNCERTAINTY IN INCOME TAXES IT IS THE OPINION OF MANAGEMENT THAT THE CORPORATION AND ASSOCIATION HAVE NO UNCERTAIN TAX POSITIONS THAT WOULD BE SUBJECT TO CHANGE UPON EXAMINATION.
