Annually all interested persons, including directors, principal officers, members of a committee, and management of the organization have a duty to disclose actual or possible financial conflicts of interest. After disclosure and discussion with the interested person, he or she shall leave the board or committee meeting while the determination of conflict is discussed and voted on by the remaining board or committee members. If it is determined that a conflict exists, the interested person may make a presentation of alternatives at the board or committee meeting. If appropriate the alternatives are investigated. After exercising due diligence to determine if the Corporation can obtain a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict, the board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in conformity with such determination. If an interested person fails to disclose actual or possible conflicts of interest, the board or committee shall take appropriate disciplinary and corrective action.

Compensation is paid by a related organization, Marian Manor Community Corporation. The Organization is a member of the ND Long Term Care Association who puts out a compensation survey for area administrators. The survey is typically used as a guide for comparable compensation at a board meeting and administrator compensation is approved and documented at that time. The process is undertaken yearly in December.
