“General membership shall be available to all domestic corporations, partnerships, and residents of the state of north dakota who are grain producers and who pay an annual fee which will be set from time to time by the board of directors. Members must be in good standing for ninety days prior to the north dakota grain growers association annual convention for voting privileges. Associate membership is available to all corporations, businesses, partnerships, and individuals who are not producers of grain but who desire to support the corporation and who pay a minimum annual fee which will be set from time to time by the board of directors.”

“A nominating committee of not less than three members shall be appointed by the president at least thirty days prior to the annual meeting of the corporation whose duty it shall be to nominate from the members of the board of the corporation as many members to be voted for members of the board of directors as there are vacancies on the board to be filled. Other nominations than ones recommended by the committee may be made by any member at the annual meeting.”

“All members, except associate members, shall be entitled to one vote on each matter submitted to a vote of the members.”

“The executive director will review the 990 prior to filing with the irs and provide a copy to the board of directors at the next meeting.”

“The conflict of interest policy covers north dakota grain growers association (ndgga)directors and offices, 6, part vi, line and other corporation, partnership,association, or other organization in which one or more of the 12c ndggas directors or officers are directors or officers, or in which one or more of the ndgga directors or officers have a financial interest. At such time as many matters comes before the board of directors, executive board, or meeting of the executive officers in such a way as to give rise to a conflict of interest, the affected directors or officers shall make known the potential conflict and after answering any questions that might be asked of him or her, shall not vote on the matter. At the request of any member of the board of directors, the affected directors or officers may be excused from the meeting during the consideration of the matter in which he or she has a conflict of interest. If the board of directors, executive board or executive officers inadvertently take an action on any matter in which it is later disclosed that one or more board of directors or officers had a conflict of interest at the ti me of action, the board of directors may, at its discretion and at any time ratify such action after the disclosure of the conflict of interest has been made.”

“The executive committee, comprised of independent board members, performs an annual review of the executive director's compensation. The committee uses comparable data to other executive directors in the industry to establish the reasonable amount. The documentation of the deliveration is kept in the personnel file.”
