Governance Explanations

Form 990, Page 6, Part VI, Line 1A

The executive board shall be composed of the officers of the corporation, the north dakota director on the national rural water association board, together with the immediate past president of the corporation or in the event of their inability or unwillingness to serve, then any past president chosen by the officers, and a manager of rural water system member, selected by the managers groups to be their representative, and a director at large from the rural water system members. If the position of any officer or member of the executive board becomes vacant by reason of death, resignation, retirement, disqualification, or otherwise, a new officer or member shall be appointed by the executive board from among the rural water system members, except for a vacancy of managers representative which shall be filled by the managers group. This term shall continue for the balance of the term of the vacated member. The executive board has the authority to vote on such issues as approval of financials, approval of the audit and program contracts.

Voting members - rural water system members shall be the only membership class entitled to vote at a meeting. Every rural water provider organized under the laws of the state of north dakota as a public water system may become a member of the corporation. Each rural water system member shall designate one voting delegate who must be a board member in good standing of that rural water system. Said delegate shall serve as a voting member. Nonvoting members - a small city member shall be a city or village that has a population of less than 750. A large city member shall be a city that has population of 750 or more. An associate member shall be any person or business that supports the purposes of north dakota rural water systems association. A non-community system member shall be any water or wastewater system that does not fall into any of the other categories of membership. An individual member shall be any person who is employed by or serves as a director of a member system, governmental agency, or of the association and supports the purposes of the association.

Membership voting rights: a rural water member of north dakota rural water systems association shall designate one voting delegate who must be a member in good standing of that rural water system. Said delegate shall serve as a voting member at the annual meeting or at any duly called special meeting of the corporation.

Source water fund - the source water protection program is designed to protect the quality of drinking water in the rural areas of north dakota. By working with farm services county executive directors, the source water specialist will identify land use activities above an aquifer not previously studied in a community well head protection plan for potential contamination sources, and then recommend actions to reduce or eliminate contamination threats to the safe drinking water that rural communities depend on. Expenses 113,713. Including grants of 0. Revenue 0. Garrison diversion conservancy district fund - the ndrwsa is assisting select water systems east of nd highway 1 in the development of the water conservation plans and drought management plans that meet epa plan guidelines. The garrision diversion conservancy district funds this program. Expenses 131,861. Including grants of 0. Revenue 0. Other program service income includes various other income not received from government grants. The north dakota rural water systems association is organized as a state nonprofit corporation and has been recognized by the internal revenue service (irs) as exempt from federal income taxes under section 501(a) of the internal revenue code as an organization described in section 501(c)(3), qualifies for the charitable contribution deduction under section 170(b)(1)(a)(vi), and has been determined not to be a private foundation under sections 509(a)(1). North dakota rural water systems association is annually required to file a return of organization exempt from income tax (form 990) with the irs. The north dakota rural water finance corporation is organized as a statenonprofit corporation and has been recognized by the irs as a c corporation. The north dakota rural water finance corporation does not have any taxable income and therefore, no provision or liability for federal income taxes has been included in the financial statements. The association believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The association would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred. The association is no longer subject to tax examinations for years before 2012.

EACH RURAL WATER SYSTEM MEMBER SHALL DESIGNATE ONE VOTING DELEGATE WHO MUST BE A BOARD MEMBER IN GOOD STANDING OF THAT RURAL WATER SYSTEM. SAID DELEGATE SHALL SERVE AS A VOTING MEMBER. NONVOTING MEMBERS - A SMALL CITY MEMBER SHALL BE A CITY OR VILLAGE THAT HAS A POPULATION OF LESS THAN 750. A LARGE CITY MEMBER SHALL BE A CITY THAT HAS POPULATION OF 750 OR MORE. AN ASSOCIATE MEMBER SHALL BE ANY PERSON OR BUSINESS THAT SUPPORTS THE PURPOSES OF NORTH DAKOTA RURAL WATER SYSTEMS ASSOCIATION. A NON-COMMUNITY SYSTEM MEMBER SHALL BE ANY WATER OR WASTEWATER SYSTEM THAT DOES NOT FALL INTO ANY OF THE OTHER CATEGORIES OF MEMBERSHIP. AN INDIVIDUAL MEMBER SHALL BE ANY PERSON WHO IS EMPLOYED BY OR SERVES AS A DIRECTOR OF A MEMBER SYSTEM, GOVERNMENTAL AGENCY, OR OF THE ASSOCIATION AND SUPPORTS THE PURPOSES OF THE ASSOCIATION.
