Governance Explanations

Form 990, Part VI, Section A, line 1

The Executive Committee is composed of the elected officers of the Organization and the National Director serving as an advisory member. The Executive Committee shall have and may exercise full authority to act on behalf of the Board of Directors in any matters of organization business and activities and the actions taken by it shall be binding upon the Organization as if taken by the Board of Directors; provided that the Executive Committee may not act for the Board of Directors in approving amendments to the bylaws; its authority to appropriate funds of the Organization shall be expressly limited to an amount determined by the Board of Directors; and it shall not take any action which contravenes any policy adopted or infringes upon any action previously taken by the Board of Directors.

Form 990, Part VI, Section A, line 6

The membership of the Association shall be composed solely of individuals. The Association shall have four classifications of membership: Active, Associate, Auxiliary and Honorary. Active Members: Active membership shall be available to individuals engaged in the insurance agency business commonly referred to as the American Agency System who directly or through their agency represent one or more insurance companies and to individuals engaged in the insurance brokerage business who sell insurance but do not represent any insurance companies. There shall be 2 classes of Active Members, Active I and Active II. Both Active I and Active II Members shall have the right to attend and vote at meetings of the Members of the Association and to hold office. Active I members shall be the first Member in time who joins the Association from each agency or brokerage company. Active II Members shall be the second and subsequent Members from each agency or brokerage company. Both Active I Members and Active II Members shall be those persons who are duly authorized by the insurance laws of their state to be engaged in the business of selling insurance. The foregoing qualifications for Active I and Active II memberships shall apply to new and renewal memberships. Associate Members: Associate membership shall be available to individuals employed by each agency and brokerage company operating under the commonly referred to American Agency System who are not eligible for Active Membership. Associate members shall be entitled to attend the Annual Meeting of the Members but shall not be entitled to vote or hold office. Auxiliary Members: Auxiliary membership shall be available to (a) individuals who are nonproducing personnel employed by insurance companies operating under American Agency System principles, (b) individuals associated with adjusting firms, and, (c) other individuals affiliated directly or indirectly with the insurance business. Auxiliary Members shall be entitled to attend the Annual Meeting of the Members but shall not be entitled to vote or hold office. Honorary Members: The Board of Directors may confer Honorary membership upon any individual who has rendered notable service to the insurance industry or to PIA. Honorary Members may attend the Annual Meeting of the Members but shall not be entitled to vote or hold office.

Changes to the bylaws must be approved by a majority vote of the Active Members present and voting at any duly called and regularly conducted meeting of the Organization.

The Executive Director reviews the Form 990. The Executive Director then emails it to all board members asking for any comments prior to filing the return.

All board members are covered by the conflict of interest policy. The Executive committee reviews and determines whether a conflict of interest exists. Board members must abstain from voting if there is a conflict present. If the conflict is large enough they will be asked to leave.

Annually at the January board meeting, the board discusses the Executive Director's compensation from the previous year and what the compensation will be going forward.

The Executive Committee shall have and may exercise full authority to act on behalf of the Board of Directors in any matters of organization business and activities and the actions taken by it shall be binding upon the Organization as if taken by the Board of Directors; provided that the Executive Committee may not act for the Board of Directors in approving amendments to the bylaws; its authority to appropriate funds of the Organization shall be expressly limited to an amount determined by the Board of Directors; and it shall not take any action which contravenes any policy adopted or infringes upon any action previously taken by the Board of Directors.
IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt1The membership of the Association shall be composed solely of individuals. The Association shall have four classifications of membership: Active, Associate, Auxiliary and Honorary. Active Members: Active membership shall be available to individuals engaged in the insurance agency business commonly referred to as the American Agency System who directly or through their agency represent one or more insurance companies and to individuals engaged in the insurance brokerage business who sell insurance but do not represent any insurance companies. There shall be 2 classes of Active Members, Active I and Active II. Both Active I and Active II Members shall have the right to attend and vote at meetings of the Members of the Association and to hold office. Active I members shall be the first Member in time who joins the Association from each agency or brokerage company. Active II Members shall be the second and subsequent Members from each agency or brokerage company. Both Active I Members and Active II Members shall be those persons who are duly authorized by the insurance laws of their state to be engaged in the business of selling insurance. The foregoing qualifications for Active I and Active II memberships shall apply to new and renewal memberships. Associate Members: Associate membership shall be available to individuals employed by each agency and brokerage company operating under the commonly referred to American Agency System who are not eligible for Active Membership. Associate members shall be entitled to attend the Annual Meeting of the Members but shall not be entitled to vote or hold office. Auxiliary Members: Auxiliary membership shall be available to (a) individuals who are nonproducing personnel employed by insurance companies operating under American Agency System principles, (b) individuals associated with adjusting firms, and, (c) other individuals affiliated directly or indirectly with the insurance business. Auxiliary Members shall be entitled to attend the Annual Meeting of the Members but shall not be entitled to vote or hold office. Honorary Members: The Board of Directors may confer Honorary membership upon any individual who has rendered notable service to the insurance industry or to PIA. Honorary Members may attend the Annual Meeting of the Members but shall not be entitled to vote or hold office.

The Executive committee reviews and determines whether a conflict of interest exists. Board members must abstain from voting if there is a conflict present.
