Governance Explanations

Form 990, Part VI, Section A, Line 1

All members of the executive committee shall be trustees: the board chair, vice chair, secretary, and treasurer along with the chairperson of each standing committee. The president shall be a nonvoting member of the executive committee. In addition, another trustee shall be elected by the board to serve as an at large member of the executive committee. The at large member of the executive committee shall serve for a one-year term, and may be reelected without limits. The executive committee shall meet as often as necessary to carry out its business, but not less than three times annually. The executive committee shall have delegated authority from the board to advise and assist the president of the college to address routine business matters between regular board meetings and to assist the board chair and the president in their joint responsibility to help the board to function effectively and efficiently by suggesting board meeting agenda items and periodically assessing the quality of committee work. The executive committee shall have delegated authority to act for the board of trustees on all matters except for the following, which shall be reserved for the board: president selection and termination; trustee and board officer selection; changes to the bylaws or certificate of incorporation; incurring of college indebtedness other than indebtedness in the ordinary course of business; sale of college assets or tangible property other than in the ordinary course of business; adoption of the annual budget; and conferral of degrees. These bylaws or this board may from time to time reserve other powers exclusively for the board of trustees. In addition to its authority to take action on emergency matters that cannot or should not be deferred to the next scheduled meeting of the board, the executive committee shall oversee the work of board standing committees and other committees, the college's planning process or progress on planning goals, and the board's responsibility to support the president and assess his or her performance, and it shall review annually the president's compensation and terms of employment. Further, the executive committee shall ensure that the membership and leadership of the board consist of highly qualified and committed individuals; it shall ensure that regular programs of new trustee and in-service education are maintained, and it shall periodically recommend initiatives by which the board shall assess its performance. It shall serve as the agent of the board in reviewing the performance of incumbent trustees and board officers, who are eligible for reelection; maintain a list of qualified candidates for possible nomination; consider cultivation strategies for promising trustee candidates; and propose and periodically review the adequacy of a statement of trustee responsibilities as adopted by the board.

Form 990, Part VI, Section A, Line 7A

At the invitation of the board, board membership shall consist of assemblies of god district superintendents, individuals from the fields of church ministries, professions, education, and members-at-large. All members shall annually concur with the colleges statement of faith and community life statement. The president of the college serves as a nonvoting member of the board.

Form 990, Part VI, Section B, Line 11B

The form 990 was reviewed in detail by management and a copy will be provided to the entire board of trustees after the return is filed. The review will be conducted by the business office via conference call following the completion of the 990. All will have an opportunity to review the 990 prior to the conference call.

Form 990, Part VI, Section B, Line 12C

Any director, principal officer, or member of board of trustees with governing board delegated powers, who has a direct or indirect financial interest, as defined below, is an interested person. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the organization can obtain with reasonable effort a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement. If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action. All proceedings related to conflicts of interest are documented in the meeting minutes or as otherwise appropriate.

Form 990, Part VI, Section B, Line 15A

The president's salary is determined using comparable data from similar church-related colleges of similarly sized student bodies and program offerings to ensure compensation is equitable. The independent board of trustees reviews and approves of the salary and the approval is documented in the board meeting minutes. The most recent salary increment was a 2% increment (oct. 1, 2018) following the benchmark for all staff. All other employees and officers are handled alike, through the normal budgeting process. The budget, including salaries, are reviewed and recommended for approval by the finance committee and then approved by the full board of trustees. The board of trustees establishes the benchmark increment to all staff. Supervisors utilize pay rate adjustment forms to document and authorize exact increments. Key employees such as vice presidents pay rates are authorized by the executive vice president. The executive vice president's pay adjustment is authorized by the president.

The college is a nonprofit organization that is exempt from federal income tax under internal revenue code section 501(c)(3). The college follows the provisions of the fasb accounting standards codification topic, accounting for uncertainty in income taxes. The implementation of this standard had no impact on the financial statements. As of june 30, 2018 and 2017, the unrecognized tax benefit accrual was zero. The college will recognize future accrued interest and penalties related to the unrecognized tax benefits in income tax expense if incurred.
