Governance Explanations

Form 990, Part VI, Section A, line 2

Michael Kienzle and Marlys Kienzle have a family relationship.

Form 990, Part VI, Section A, line 8B

There are no committees with authority to act on behalf of the governing body.

Form 990, Part VI, Section B, line 11B

Each director receives a copy of the Form 990 to review prior to the semi-annual meeting. The draft of the 990 is approved for filing at the semi-annual meeting.

Form 990, Part VI, Section B, line 12C

Directors will declare if a conflict of interest exists on a particular agenda item, and the remaining directors will determine what action to take, including having the director leave the meeting, or refrain from voting on the issue.

Form 990, Part VI, Section B, line 15A

The directors will use a salary survey published by the North Dakota Long Term Care Association, which lists salaries of comparable positions in the state of North Dakota to determine the pay for the CEO/Administrator. The deliberation and decision is documented in the board meeting minutes. This process was last undertaken in May 2017.

Form 990, Part VI, Section C, line 19

The Organization's governing documents, conflict of interest policy and financial statements are available to the public upon request.

Financial Statement Notes

Part IV, Line 2B:

The Living Center acts as custodian for certain funds of the Nursing Home residents. These funds are included in cash and accounts payable in the consolidated financial statements. Resident trust funds totaled $7,575 and $9,534 at June 30, 2018 and 2017. As a condition of the rental agreement with Home Apartments, Hilltop Apartments and Prairie Hill, residents are required to make a refundable security deposit equal to one month's rent. These amounts are deposited in an interest bearing account. The security deposits plus interest are included in cash and accounts payable in the consolidated financial statements. The total of these deposits was $26,824 and $27,186 at June 30, 2018 and 2017.

Part X, Line 2:

The Living Center is organized as a North Dakota nonprofit organization and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Internal Revenue Code Section 501(c)(3). The Living Center is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Living Center is subject to income tax on net income that is derived from business activities that are unrelated to its exempt purpose. The Living Center has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. The Living Center believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Living Center would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0The Living Center acts as custodian for certain funds of the Nursing Home residents.
IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt1The Living Center is organized as a North Dakota nonprofit organization and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Internal Revenue Code Section 501(c)(3).
