Governance Explanations

Form 990, Part VI, Section A, line 6

Any person, partnership, corporation or limited liability company directly or indirectly connected with the construction industry shall be eligible to apply for membership in this Corporation. There shall be no discrimination of individual memberships because of race, religion, sex, age, national origin, disability or veteran's status. Residence in the state of North Dakota is not required for membership.

The President of the Board of Directors will appoint a Nominations Committee of three (3) active Board members. The Nominations Committee will disseminate nomination forms to all Corporation members. Members elect the Board of Directors.

The written conflict of interest policy covers Board of Directors only. The Board President reviews and determines whether a conflict exists. While the written policy does not state what restrictions are imposed on a person with a conflict, in practice that individual is required to leave the room and abstain from voting on the issue in conflict with.

The Executive Committee of the Board of Directors annually reviews the compensation package for the Manager. In determining reasonable compensation the Executive Committee of the Board of Directors obtains data on comparable compensation for similarly qualified persons in comparable positions. The President of the Board of Directors presents their proposed compensation package to the Manager in a formal review. The proposed compensation package is based on reasonable compensation and on their review of the Managers annual performance on the compensation changes based on their review of her annual performance.

Part X, Line 2:

Fargo-Moorhead Builders & Traders Exchange, Inc. is organized as a North Dakota nonprofit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as an organization described in Section 501(c)(6). The Exchange is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Exchange is subject to income tax on net income that is derived from business activities that is unrelated to its exempt purpose. The Exchange has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. The Exchange believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Exchange would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0Fargo-Moorhead Builders & Traders Exchange, Inc. is organized as a North Dakota nonprofit corporation and has been recognized by the Internal Revenue Service (IRS) as exempt from federal income taxes under Section 501(a) of the Internal Revenue Code as an organization described in Section 501(c)(6). The Exchange is annually required to file a Return of Organization Exempt from Income Tax (Form 990) with the IRS. In addition, the Exchange is subject to income tax on net income that is derived from business activities that is unrelated to its exempt purpose. The Exchange has determined it is not subject to unrelated business income tax and has not filed an Exempt Organization Business Income Tax Return (Form 990-T) with the IRS. The Exchange believes that it has appropriate support for any tax positions taken affecting its annual filing requirements, and as such, does not have any uncertain tax positions that are material to the financial statements. The Exchange would recognize future accrued interest and penalties related to unrecognized tax benefits and liabilities in income tax expense if such interest and penalties are incurred.

In determining reasonable compensation the Executive Committee of the Board of Directors obtains data on comparable compensation for similarly qualified persons in comparable positions. The President of the Board of Directors presents their proposed compensation package to the Manager in a formal review. The proposed compensation package is based on reasonable compensation and on their review of the Managers annual performance on the compensation changes based on their review of her annual performance.
