Mission

Wayside waifs, inc. (the organization) is a charitable animal shelter whose mission is preparing pets and people for the bond of their lives. Wayside waifs, inc.provides a wide range of services to adopters and pet owners. The organization has been helping families for generations by providing pet memorial aftercare, training and humane education, animal surrender, and much more.

Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee may exercise all of the powers of the board of directors in the management and direction of the affairs of the organization. The committee does not have the power to (a) authorize distributions to directors, officers, agents, or employees except in exchange for value received; (b) approve dissolution, merger, or the sale, pledge, or transfer of all or substantially of the organization's assets; (c) appoint or remove directors or fill vacancies on the board or any of its committees; or (d) adopt, amend, or repeal the articles of incorporation or bylaws.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy requires that officers and directors annually disclose any interests that could give rise to conflicts. Board members are elected to their positions at least once every two years. At the time of elections, there is a review of all board members that includes any potential conflict of interest issues.

Form 990, Part VI, Section B, Line 15

An annual performance review is completed on the president at the end of the year. The review form is completed by the board chair in conjunction with a self-appraisal completed by the president. Both are shared with all members of the executive committee for review and comments, after which the president and chair meet to discuss. The president's compensation is reviewed at that time and a recommendation is made for the compensation to be paid in the following year. The recommendation is based on both the performance of the president in achieving organizational objectives and a review of the compensation for comparable positions in the local area. Compensation is approved by the board of directors. Compensation for other officers is determined by a compensation benchmark analysis. The analysis is reviewed by the president and approved by the board of directors.

Additional Explanations

FORM 990, PART XII, LINE 2C:

The finance committee assumes responsibility for oversight of the financial statement audit and selection of an independent accountant. The committee also reviews monthly financials and approves budgets. This process has not changed from prior year.

Financial Statement Notes

PART V, LINE 4:

The organization's endowment fund consists of gifts from two trusts that are donor-restricted to investment in perpetuity and additional board-designated amounts that are treated as quasi-endowments. The organization has adopted investment and spending policies for the endowment assets that attempt to provide a predictable stream of funding to its programs.

PART X, LINE 2:

Wayside waifs has been granted exemption from income taxes by the internal revenue service under the provisions of section 501(c)(3) of the internal revenue code. Accounting standards codification ("asc") topic 740, income taxes, prescribes a recognition threshold and measurement attribute for the financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return, and provides guidance on derecognition, classification, interest and penalties, disclosure, and transition. Management believes that no material uncertain tax positions exist for the organization as of december 31, 2024. The organization is no longer subject to income tax examinations by taxing authorities for years before 2021.

A COMPLETE CIRCLE OF CARE WAS PROVIDED TO ALL HOMELESS PETS BASED ON THEIR INDIVIDUAL NEEDS, INCLUDING SERVICES LIKE: FOSTER CARE, VETERINARY CARE, LIFE-SAVING SURGERY AND DIAGNOSTICS, TRAINING, SPECIALIZED BEHAVIOR MODIFICATION, AND ENRICHMENT.COMMUNITY OUTREACH: 4,139 PETS AND PEOPLE WERE SERVED THROUGH OUTREACH PROGRAMS. THIS INCLUDED LOW-COST VACCINE DRIVE-THRU EVENTS, FREE SPAY/NEUTER EVENTS, FREE FOOD AND SUPPLIES THROUGH THE PET FOOD PANTRY, FREE ANIMAL BEHAVIOR SUPPORT, AND TRAP-NEUTER-RELEASE FOR COMMUNITY CATS.EDUCATION PROGRAM: 10,640 YOUTH WERE REACHED THROUGH EDUCATION PROGRAMS. THIS INCLUDED NO MORE BULLYING VIOLENCE PREVENTION CURRICULUM, KIDS IN ACTION, CAMP WAYSIDE, DOG SAFETY CLASSES, AMONG OTHERS. THE NO MORE BULLYING PROGRAM WAS NAMED THE 2023 EDUCATOR'S CHOICE AWARD FOR BEST YOUTH HUMANE EDUCATION PROGRAM BY THE ASSOCIATION OF PROFESSIONAL HUMANE EDUCATORS.ADDITIONAL 2024 ACCOMPLISHMENTS INCLUDE: 3,707 SURGERIES PERFORMED 110 DOGS RECEIVED CARE AT THE CANINE BEHAVIOR CENTER 190 ANIMALS REUNITED WITH THEIR FAMILIES 94% LIVE RELEASE RATE 1,276 ANIMALS FOSTERED 762 FAMILIES SERVED THROUGH PET MEMORIAL SERVICES 38 VET STUDENTS COMPLETED THE WAYSIDE VET PRECEPTORSHIP PROGRAM
