The organization monitors compliance with the conflict of interest policy at each board meeting and a new conflict of interest policy is signed annually. Persons covered by the policy are the organization's officers directors, and chief employed executives. If a potential conflict arises the covered person must recuse him/herself from related discussions and voting on the transaction.

The board of directors determine dan's salary and the state director determines other employees' salary. Bylaws state that state director will determine day to day employee matters. The board of directors approves the salary in the budget. Determined what the budget would allow. They use a survey from food industry association executives to compare to others across the state and nation.

Part v, line 2a the organization shares employees with another entity and are included on that entity's w-3. The organization reimburses the other entity for employee wages, payroll taxes, and benefits.

Financial Statement Notes

Schedule D, Page 3, Part X

The association has analyzed the tax positions taken and has concluded that, as of december 31, 2022 and 2021, there are no uncertain positions taken, or expected to be taken, that would require recognition of an asset or liability or disclosure in the financial statements. A tax asset or liability would be recognized if the association has taken an uncertain position that more likely than not would not be sustained upon examination by taxing authorities. The association is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress. The association does not believe it likely that changes will occur within the next fiscal year that will have a material impact on the financial statements.
