“Mra members pay membership dues to the association. Regular members operate restaurants, cafeterias, banquet centers, or catering services. Allied members offer goods and services for sale to regular members. Benefits of membership cease if membership dues are not paid. No member, officer, or employee has an equity or ownership interest in the association.”

“The board of directors elects members to our board. Mra's nominating committee identifies members they would like to consider for inclusion on the board. An inquiry is made as to whether the member would be agreeable to board service, and, if agreeable, the member is given a board of director application form to complete. The nominating committee reviews the application, and if deemed worthy of board service, the member is nominated for inclusion on the board of directors. A vote is taken at the next quarterly meeting of the board of directors. If approved by majority vote at that meeting, the member becomes a director. In a similar fashion, the nominating committee identifies members of the board of directors they deem worthy of becoming an officer of the mra. Candidates are nominated and then approved, or disapproved, by a vote of the board of directors. Officers of the mra are as follows: chairman president vice-president secretary treasurer chief executive officer executive vice-president controller”

“Form 990 is reviewed by the organization's chief executive officer, executive committee, and finance committee.”

“The ceo, executive vice president (evp), and controller are paid staff positions. Salaries are established as follows: the executive and finance committee establishes, reviews, and approves the mra's annual operating budget. Included in the budget is a schedule of compensation for all staff positions. First and foremost, executive and finance considers what the committees believes to be the ability of mra to pay. The salary for the ceo, evp, and controller are established in consideration of what other state restaurant associations pay. The national restaurant association has salary and benefit data compiled using surveys and makes that information available to mra and others. The salaries for other staff positions are established through the budgeting process and is included on the schedule of compensation. Once executive and finance approves the budget, it is voted on by the board of directors. Mra's chairman, president, vice-president, secretary, and treasurer serve on a volunteer basis and receiving no compensation.”
