Governance Explanations

Form 990, Part VI, Section B, Line 11B

An independent accounting firm prepares and reviews the 990. The 990 is then reviewed by university management and accounting personnel. Any questions or concerns that university management and accounting personnel have are addressed and any corrections or clarifications are made. The draft version of the 990 is then provided to the audit committee of the board of trustees for review. An electronic copy of the final form 990 with all required schedules is provided to all members of the board of trustees prior to filing.

Form 990, Part VI, Section B, Line 12C

A copy of the conflict of interest policy is provided at the time of hire for faculty and administrative staff, and thereafter is available on the university's intranet site. Members of the president's cabinet must sign an annual conflict of interest statement. In the case of the board of trustees, a copy of the conflict of interest policy is provided at the time of election, and thereafter on an annual basis each june. Trustees, officers, key employees and highly compensated employees are also required to complete annually a disclosure statement regarding business and family relationships, related persons and activities. The completed disclosure statements are reviewed by university management and accounting personnel, and are kept on file in the university's office of finance and human resources. If an interested party is an employee, a member with oversight of the department employing the individual shall make a determination as to whether a conflict exists and implement the appropriate safeguards and conflict management plan to protect the university and the parties, including notifying the board of trustees. If the interested party is an officer, trustee or member of a committee, after disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the board of trustees or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. If the governing board of trustees or committee has reasonable cause to believe an interested person has failed to disclose actual or possible conflicts of interest, it shall inform the interested person of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. If, after hearing the interested person's response and after making further investigation as warranted by the circumstances, the governing board of trustees or committee determines the interested person has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Form 990, Part VI, Section B, Lines 15A & B

The executive committee of the board of trustees determines the annual compensation for the university president. The president's compensation is compared to salary data for a benchmark group of peer institutions. The terms of the president's compensation are documented in a written employment contract on file in the university human resources department. The president's compensation is paid to his religious order. The university planning & budgeting committee makes an annual recommendation to the president and board of trustees for any salary adjustments for faculty and administrative staff within the parameters of the annual operating budget. This includes key employees of the organization. Additionally, the executive committee of the board of trustees annually reviews compensation for the key employees of the university and compares compensation to appropriate historical and benchmark salary data. The review was completed in 2015, conducted by the human resources department.

Management has evaluated their income tax positions under the guidance included in asc 740. Based on their review, management has not identified any material uncertain tax positions to be recorded or disclosed in the financial statements.

The university's endowment consists of approximately 220 individual funds established for a variety of purposes. The endowment includes both donor-restricted endowment funds and funds designated by the governing body to function as endowments (board designated endowments). As required by accounting principles generally accepted in the united states of america ("gaap"), net assets associated with endowment funds, including board-designated endowment funds, are classified and reported based on the existence or absence of donor-imposed restrictions. The university's governing body has interpreted the state of missouri prudent management of institutional funds act (spmifa), adopted in august 2009, as requiring preservation of the fair value of the original gift as of the gift date of the donor-restricted endowment funds absent explicit donor stipulations to the contrary. As a result of this interpretation, the university classifies as permanently restricted net assets (a) the original value of gifts donated to the permanent endowment, (b) the original value of subsequent gifts to the permanent endowment and (c) accumulations to the permanent endowment made in accordance with the direction of the applicable donor gift instrument at the time the accumulation is added to the fund. The remaining portion of donor-restricted endowment funds is classified as temporarily restricted net assets until those amounts are appropriated for expenditure by the university in a manner consistent with the standard of prudence prescribed by spmifa. In accordance with spmifa, the university considers the following factors in making a determination to appropriate or accumulate donor-restricted endowment funds: 1. Duration and preservation of the fund 2. Purposes of the university and the fund 3. General economic conditions 4. Possible effect of inflation and deflation 5. Expected total return from investment income and appreciation or depreciation of investments 6. Other resources of the university 7. Investment policies of the university assets of the endowment fund are pooled on a market value basis. Each individual pooled endowment fund subscribes to or disposes of units on the basis of the per-unit market value at the beginning of the calendar month within which the transaction takes place. Under the university's endowment spending policy, for operational purposes the board of trustees annually directs that a percentage of a three-year rolling average market value of investments held for endowment purposes be allocated as a distribution of endowment income for current operations. For 2015, such percentage was 7%. The university has adopted investment and spending policies for endowment assets that attempt to provide a predictable stream of funding to programs and other items supported by its endowment while seeking to maintain the purchasing power of the endowment. Endowment assets include those assets of donor-restricted endowment funds the university must hold in perpetuity or for donor-specified periods, as well as those of board-designated endowment funds. Under the university's policies, endowment assets are invested in a manner that is intended to maintain purchasing power, while reducing, to the greatest extent possible, the possibility of loss. The endowment fund's return is measured on a time weighted total return basis over a one, three and five year period of time against appropriate benchmarks and a manager universe of funds having a similar investment style. To satisfy its long-term rate of return objectives, the university relies on a total return strategy in which investment returns are achieved through both current yield (investment income such as dividends and interest) and capital appreciation (both realized and unrealized). The university targets a diversified asset allocation that places a greater emphasis on equity-based investments to achieve its long-term return objectives within prudent risk constraints.
