Governance Explanations

Form 990, Part VI, Section B, Line 11B

Once prepared, the form 990 for the wilson school is submitted electronically to management at the school. Management reviews and sends the form 990 to the finance committee for review and approval. Upon receiving confirmation from the chair of the finance committee, the head of school (or appropriate designee) sends the filing to the full board of trustees by means of electronic communication. The board of trustees will be given one week to review and comment prior to filing. Any concerns or comments from the board of trustees will be addressed. The chair of the finance committee authorizes release for filing form 990 after the committee has approved issuance.

Form 990, Part VI, Section B, Line 12C

The school has adopted a conflict of interest policy. Any member of the board of trustees shall disclose, annually, any relationship that the member has with any person, corporation or other entity with which the school proposes to enter or has entered into, including any contract or other transaction that may result in financial gain or other advantage to such member.

Form 990, Part VI, Section B, Line 15

The wilson school board of trustees employs the head of school pursuant to the terms of employment contract, which is reviewed annually. The executive committee of the board reviews the material terms of this employment contract each year, including all compensation terms, and formulates recommendations which are presented to the full board for approval in conjunction with the results of the head of school's annual performance review. In establishing the head of school's annual compensation, the executive committee and the board review and consider benchmark data from the national association of independent schools, as well as other resources for comparing compensation of the head of similar independent schools. In addition, the board considers the effect of current cpi and other inflation indices. Finally, in establishing the initial compensation of the current head of school, the board also reviewed publicly available information from the filed form 990s of other independent schools. Form 990, part vi, section b, line 15b: in establishing annual compensation, the head of school reviews and considers benchmark data from the national association of independent schools. In addition, the head of school considers the effect of current cpi and other inflation indices. The school currently has no employees that meet the definition of a key employee.

Financial Statement Notes

PART V, LINE 4:

The intended use of the wilson school's endowment funds are for: providing tuition assistance to children whose parents, without some form of tuition assistance, could not afford a wilson school education; provide professional development of the school's faculty and staff; to support the teaching of the humanities curriculum at the upper grade levels; and fund other program and operational aspects of the school.

PART X, LINE 2:

The school constitutes a qualified not-for-profit organization under section 501(c)(3) of the internal revenue code and is, therefore, exempt from federal income taxes. The school has addressed the provisions of the financial accounting standards board accounting standards codification ("fasb asc") 740, accounting for income taxes. In that regard, the school has evaluated its tax positions, expiring statutes of limitations, audits, proposed settlements, changes in tax law and new authoritative rulings and believes that no provision for income taxes is necessary, at this time, to cover any uncertain tax positions.
