Governance Explanations

Form 990, Part VI, Section A, Line 6

There shall be four types of membership: individual, associate, group and sustaining. Individual membership shall be open to all that are interested in the organization. Associate membership shall be open to all employees of truman medical center. Organization members may hold elected office or may be chairs of standing committees with the exception of president, vice president and treasurer and gift shop manager. Associate members holding an elected office or chair of a standing committee are entitled to voting rights. All other associate members shall be entitled to all rights of membership with the exception of voting. Any organized group interested in the objectives of the organization shall be eligible for membership and entitled to one voting representative who is entitled to all rights and privileges of membership. Sustaining membership shall be open to all individuals interested in supporting the friends of truman medical centers. A completed application for membership shall be processed by the membership committee chair and reported to the board at the next regular board meeting. Upon payment of required dues in accordance with standing operating procedures, the applicant shall be declared a member.

An independent accounting firm prepares and reviews the 990. The 990 is then provided to the board for their review prior to filing the 990. Any questions or concerns the board may have are addressed and any concerns or clarifications that need to be made are made. The final form 990 with all required schedules is then provided to all voting members of the board prior to filing the 990 with the irs.

Form 990, Part VI, Section B, Line 12C

1. Duty to disclose in connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. 2. Determining whether a conflict of interest exists after disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. 3. Procedures for addressing the conflict of interest a. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest. B. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. C. After exercising due diligence, the governing board or committee shall determine whether the tmc hospital hill auxiliary can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. D. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the tmc hospital hill auxiliary's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement. 4. Violations of the conflicts of interest policy a. If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose. B. If, after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.

Form 990, Part III, Line 4A

Auxiliary contributions from the various project proceeds, the auxiliary contributes annually to fund equipment and hospital needs. Fundraisers throughout the year the auxiliary sponsors book, jewelry, art and accessory sales. Revenues from these sales are returned to the hospital for the benefit of the patients and hospital. Gift shop the gift shop is located in the main lobby of the hospital. It is open daily and on weekends and staffed by auxiliary employees and volunteers. Layettes for babies each baby born at truman medical center receives a newborn layette (kimono, receiving blanket, baby booties or socks and a cap) provided by the auxiliary sewing committee. Personal comfort funds volunteer and social service departments personal needs of tmc patients are met through the auxiliary operating budget and from special gifts to these funds. The funds provide toiletries, bus tokens for neonatal patients and moms whose babies remain at tmc, nutritional supplements to oncology patients and therapeutic devices for discharged patients. New undergarments and outside clothing items are also provided for those in need when discharged. Sewing committee volunteer sewers make thousands of patient comfort items yearly, including baby layettes, patient robes, baby quilts, sids sleepers, lap blankets, wheelchair bags, mastectomy bags and pillows. Knitters make infant caps, baby booties and baby blankets. Vending machines soft drinks and snacks and healthy food options are available from vending machines located in various buildings on the hospital campus. Revenues are funneled back into the hospital.
