Governance Explanations

Form 990, Part VI, Line 1A EXECUTIVE COMMITTEE

The executive committee may have authority as the board from time to time. Following is the bylaw wording: section 5.2 executive committee: there shall be an executive committee of the board consisting of the chairman of the board, plus four (4) members of the board of directors appointed by the chairman and confirmed by the board of directors. The chairman shall chair the executive committee. The executive committee shall make recommendations to the board or have such responsibilities as the board of directors may from time to time prescribe by resolution.

The executive committee performs an annual compensation evaluation for the ceo as well as key employees. Their recommendation is reviewed and approved annually by the full board of directors. This was last undertaken in 2024 since the cfo reviews salaries annually.

A copy of the conflict of interest policy is given to all officers, directors, key employees and other employees, and to all volunteers upon engagement or hire and annually thereafter. The conflict of interest disclosure form, which requires full and frank disclosure of any and all actual or potential conflicts or duality of interest or responsibility, whether individual, personal or business, is provided to the board of directors upon election. THE EXTREME SCREEN OFFERS FIRST RUN MOVIES, EDUCATIONAL MOVIES, AS WELL AS HOLIDAY CLASSICS. REVENUE OF $272,107 WAS RECOGNIZED FOR 2024. CITY STAGE THEATER AND LOBBY IS A LIVE PERFORMANCE VENUE EQUIPPED WITH SOPHISTICATED SOUND AND LIGHTING SYSTEMS AND AUDIO-VISUAL TECHNOLOGY, PROVIDING THE IDEAL LOCATION FOR BUSINESS PRESENTATIONS, SEMINARS AND LIVE ENTERTAINMENT. AUDITORIUM SEATING IS AVAILABLE FOR 200 AND THE LOBBY CAN BE RENTED OUT FOR RECEPTIONS WITH A CAPACITY OF 100 STANDING. REVENUE OF $111,917 WAS RECOGNIZED FOR 2024. AS A WORKING AND HISTORIC TRAIN STATION, UNION STATION ALSO OFFERS ATTRACTIONS FOR RAILROAD ENTHUSIASTS. Schedule D, Part X, Line 2 UNCERTAIN TAX POSITIONS

Management has evaluated their income tax positions under the guidance included in asc 740. Based on their review, management has not identified any material uncertain tax positions to be recorded or disclosed in the financial statements.

Schedule D, Part III, Line 1A Collections of art - financial statement footnote

The organization owns and displays various museum collection items related to the history of kansas city and union station. Collections of works of art, historical treasures and similar assets are not capitalized in as much as the items are preserved and cared for continuously. Purchases of collection items are reported in the year of acquisition as decreases in net assets without donor restrictions, or in net assets with donor restrictions if the assets used to purchase the items were restricted to that use by donor stipulation. Contributions of collection items are not reported in the consolidated financial statements. Proceeds from the disposal of and insurance recoveries related to collection items are reported as increases in the appropriate net asset classes. No collection items were sold or removed in 2024. The organization's collections consist of artifacts of historical significance, scientific specimens and art objects that are held for educational, research, scientific and curatorial purposes. Each of the items are cataloged, preserved and cared for, and activities verifying their existence and assessing their condition are performed continuously.

Uskc collects items of significance that represent the history of kansas city and the region. This collecting activity dates to 1939, when the organization operated as the kansas city museum association. The organization collected broadly: museum collections of art, local history, archeology, natural history, ethnography, native american culture clothing and textiles; and archival collections of photographs, film and manuscripts. Four collections are of national significance and continue to be requested for research, publication and exhibition: the photograph collection, the native american collection, the clothing and textile collection, and the harness and tack collection associated with loula long combs, daughter of the builder of corinthian hall.

IN JANUARY THROUGH MARCH 2024, APPROXIMATELY 29,470 VISITORS ATTENDED THE FINAL MONTHS OF BRICKTIONARY: THE ULTIMATE LEGO A-Z. THEN, FROM MAY THROUGH DECEMBER 2024, DISNEY 100: THE EXHIBITION ATTRACTED 130,106 IN ATTENDANCE, WITH A VERY STRONG SHOWING FROM LOCAL AND REGIONAL SCHOOL GROUPS. THE TRAVELING EXHIBITS IN 2024 RESULTED IN REVENUE OF $3,336,227 WHICH EQUATES TO 36% OF TOTAL ADMISSIONS TO EXHIBITS, PROGRAMS AND SHOWS FOR 2024.
