Governance Explanations

Form 990, Part VI, Section A, Line 1A

The governance committee has the power to exercise the authority of the board of trustees in the management of the foundation between board meetings. The committee consists of three or more trustees, which may include no more than one category k trustee, elected by a majority vote of the trustees. The immediate past chairman shall be elected to the committee and the chairperson of the board of trustees serves as an ex-officio member of the committee. The committee is required to keep minutes of its meetings and report the same to the board of trustees.

Form 990, Part VI, Section A, Line 7A

There are two categories of trustees, category g trustees and category k trustees. The category g trustees and category k trustees collectively constitute the board of trustees. Each category g trustee and category k trustee is elected by a majority vote of the trustees; however, the trustees may elect only category k trustees who are nominated by the kemper family foundations designated in the trust indenture.

The finance manager and director of finance & operations review form 990 for accuracy and reconcile to the annual financial statement audit prior to filing with the irs.

Form 990, Part VI, Section B, Line 12C

Annually, each trustee must submit in writing a conflict of interest disclosure statement listing all financial interests and other potential conflicts of interest to the board secretary. If a financial interest or conflict of interest arises after a trustee has filed the annual disclosure statement, the trustee must file an updated conflict of interest disclosure statement. The trustee must be given an opportunity to disclose all material facts to the governance committee, which determines whether a conflict exists under the policy. The disclosure of any conflicts, recusal of the interested party, deliberation, and vote regarding the proposed transaction or arrangement is documented in the minutes.

Form 990, Part VI, Section B, Line 15A

Upon hire, executive director compensation is determined by the executive search committee of the board with input from the search firm. Any subsequent compensation adjustments are recommended by the board of trustees with the board chair having ultimate approval. All other officers and employees generally receive performance evaluations annually. Wage adjustments are not guaranteed and may be made at any time at the sole discretion of the executive director. Adjustments depend on a number of factors including performance, productivity, seniority, and other lawful factors.

The finance committee of the board of trustees is responsible for selection of the independent accountant and oversight of the annual financial statement audit. The finance committee chair signs the audit engagement letter. The cpa firm presents the audit report to the committee. The committee then recommends the report be sent to the board of trustees for approval. This process has not changed from the prior year.

Financial Statement Notes

PART III, LINE 1A:

The museum accounts for collections in accordance with topic 958, not for profit entities: updating the definition of collections. Under this guidance proceeds from sales of collection items can also be used to support the direct care of existing collections. Additionally, an entity which holds a collection must disclose a policy for how it uses the proceeds that it receives when it disposes of an item in a collection. Proceeds from deaccessions or insurance recoveries are reflected on the statements of activities and changes in net assets based on the absence or existence and nature of donor-imposed restrictions. Collection items acquired either through purchase or donation are not capitalized. Purchases of collection items are recorded as decreases in net assets without donor restrictions if purchased with assets not subject to donor-imposed restrictions, or as decreases in net assets with donor restrictions if the assets used to purchase the items were restricted by donors in the year in which the items are acquired. Contributions of collection items are not recognized in the statements of activities and change in net assets. Museum policy requires that proceeds from sales of collection items must be used to acquire other collection items. There were no sales of artwork during the years then ended december 31, 2024 and 2023.

PART III, LINE 4:

The museum holds a 1,533-piece permanent collection for educational, research, scientific, and curatorial purposes as of december 31, 2024. Each of the items is catalogued, preserved and cared for, and activities verifying their existence and assessing their condition are performed continuously. No pieces of work were deaccessed during the year. One piece of artwork was purchased by the museum for $56,250 and 5 pieces were donated during the year ended december 31, 2024.

PART V, LINE 4:

The museum's endowment consists of three funds established for various programs. The funds include only donor-restricted funds. Endowment balances with donor restrictions include the original value at the date of the gift. The earnings on these funds are restricted until appropriated for expenditure.

PART X, LINE 2:

The museum assesses uncertain tax positions on an annual basis. There has not been any interest or penalties recognized either in the statements of activities and changes in net assets or statements of financial position related to uncertain tax positions. In addition, the museum did not have any uncertain tax positions at december 31, 2024 or 2023. The museum is no longer subject to federal or state income tax examinations by tax authorities before 2021.
