Form 990, Page 6, Part VI, Line 3

The organization has a contract with diversified management services, inc. For management services, including supervising, planning and executing the financial operations and exempt functions of the organization. Diversified management services, inc. Employs jeana schultz, who is the executive director for stadium managers association. For calendar year 2023, jeana's portion of compensation and benefits from diversified management services, inc. That related to her services for stadium managers association totaled 26,656.

Form 990, Page 6, Part VI, Line 6

Classes of members - the association shall have five classes of members: regular, college, vendor, affiliate, and honorary. The board of directors may provide for different categories of membership within each class as well as set the membership qualifications, fees, and benefits for each such category. Admission of members - requisites for admission to membership shall be as follows: regular member - regular membership shall be open to any person who is engaged in the management or administration of stadium or related facilities; and they must meet any and all other requirements established by the board of directors. College member - college/university membership shall be open to any person who is engaged in the management, administration, academic instruction or study, of stadium or related facilities which are owned or operated by a college or university; and they must meet any and all other requirements established by the board of directors. Vendor member - those corporate members who meet the "seminar sponsorship" requirements and limitations, as established from time to time by the board, shall be designated and known as "sponsor members- and have the board membership and voting rights set forth. Vendor membership shall be open to persons, firms, corporations and other entities which have, as a principal function, the provision of goods or services to the stadium industry; and they must meet any and all other requirements established by the board of directors. Affiliate member - affiliate membership may be offered to select groups or associations whose function or purpose is the collective organization, management or promotion of sports, entertainment and recreational facilities, or related concerns; and they must meet any and all other requirements established by the board of directors. Honorary member - honorary membership may be bestowed by the board of directors upon any person who in its opinion has made an extraordinary contribution to the association; and they must meet any and all other requirements established by the board of directors. Manner of admission - no person or entity shall be admitted to membership until their membership application has been approved by the board of directors and their membership dues, unless waived in whole or in part by the board, have been paid in full.

Voting rights shall include the election of members to the board of directors, amendments to these bylaws and in accordance with article xviii, and any such other matters as the board, in its sole discretion, shall determine. Regular members shall, in the manner provided in article vii, elect five (5) members of the board, college members shall elect one (1), and vendor members shall elect one (1). In all voting matters, vendor members shall be limited to one vote per firm or company.

Any person serving as an officer, staff member or member of the board of directors of sma or a major donor to sma or anyone else who is in a position of control over sma shall disclose all facts material to a potential conflict of interest. A person who has a conflict of interest shall not participate in or be permitted to hear the board's or committee's discussion of the matter except to disclose material facts and to respond to questions. Such person shall not attempt to exert his or her personal influence with respect to the matter, either at or outside the meeting. The person having a conflict of interest may not vote on the contract or transaction and, if so requested by the chair, shall not be present in the meeting room or on a teleconference when the vote is taken, unless the vote is by secret ballot. This policy shall be reviewed annually by each member of the board of directors. Each director, officer, staff member and volunteer shall update his/her disclosure form to identify any relationships, positions or circumstances in which s/he is involved that he or she believes could contribute to a conflict of interest.
