Governance Explanations

Form 990, Part VI, Section A, line 7A

Midwest Stone Institute has one class of Members. Additional hospitals that may in turn name Members may be admitted only with the Approval of the Members upon such terms as they may establish from time to time. In addition to any matters requiring the approval of the Members set forth in applicable law or the Articles of Incorporation, the following actions or decisions of the Corporation shall require the Approval of the Members of the Corporation in order to be effective: (a)Approval of the admission of new Hospital, as described in Section 3.01; (b)Election of directors as described in Section 5.04;

Changes to the bylaws must be approved by the members of the organization. There is an annual meeting of all members where any changes to the bylaws are discussed and voted on.

Copies of the final form 990 and schedules are emailed to each board member prior to being filed with the IRS. Board members are asked to review the return individually and to contact the return preparer, other board members, or executive officers with any questions or concerns.

All leased employees are employed by Barnes-Jewish Hospital. The hospital's Human Resource Department regularly surveys the market.

Part X, Line 2:

The footnote regarding FIN 48 (ASC 740) provided by the taxpayer's audited financial statements states as follows: "MSI is a nonprofit organization and is exempt from income tax under Section 501(c)(3) of the Internal Revenue Code. Therefore, no provision for federal, state or local income taxes has been included in the consolidated financial statements for MSI. MSI files income tax returns with the U.S. Federal Government. The federal income tax returns for years 2015 and beyond remain subject to examination by the Internal Revenue Service. The Company did not have unrecognized tax benefits as of September 30, 2018 and does not expect this to change significantly over the next 12 months. The Company will recognize interest and penalties accrued on any unrecognized tax benefits as a component of income tax expense. As of September 30, 2018 and September 30, 2017, respectively, the Company has not accrued interest or penalties related to uncertain tax positions."

Book versus tax difference on joint venture

Part XII, Line 4B:

The adjustment of $42,201 is due to the difference in the timing of reporting income from the Midwest Surgical Technologies LLC's Schedule K-1 on Form 990 compared to book income. The fiscal year end of the organization is 9/30/18 while the LLC has a calendar year end. Schedule K-1 income for the year ended 12/31/17 was $365,889; financial statement income for the year ended 9/30/18 $408,090.
