The policy covers all trustees, directors and employees. Any conflict of interest, potential conflict of interest or appearance of conflict of interest are to be reported. If the person is present when vote is taken in connection with such a question, member must abstain. If disclosure nor abstention appears sufficient, appropriate solution may be resignation. Any transaction must be approved by a majority of disinterested board members. Minutes shall reflect disclosure was made and member abstained from voting and was not counted in determining quorum for vote on transaction.
