Governance Explanations

Form 990, Part VI

Because of the nature of the real estate industry many of our board members may be related through affiliation with common brokerages and some may have family relationships. The prevalence of these relationships is likely to be numerous.

Form 990, Page 6, Part VI, Line 6

The organization has six classes of members. 1) realtor members include individuals who are engaged actively in the real estate profession and who maintain or are associated with an established real estate office in the state of missouri or a state continguous thereto. 2) institute affiliate members include individuals who hold a professional designation awarded by an institute, society or council affiliated with the national association of realtors that addresses a specialty area other than residential brokerage or individuals who otherwise hold a class of membership in such institute, society or council that confers the right to hold office. 3) affiliate members include real estate owners and other individuals or firms who, while not engaged in the real estate profession, have interests requiring information concerning real estate, and are in sympathy with the objectives of the board. 4) public service members include individuals who are interested in the real estate profession as employees of or affiliated with educational, public utility, government or similar organizations, but are not engaged in the real estate profession on their own account or in association with an established real estate business. 5) honorary members include individuals not engaged in the real estate profession who have performed notable service for the real estate profession, for the board, or for the public. 6) student members include individuals who are seeking an undergraduate degree with a specialization or major in real estate at institutions of higher learning, and who have completed at least two years of college and at least one college level course in real estate, but are not engaged in a real estate business of their own account or are not associated with an established real estate office.

Form 990, Page 6, Part VI, Line 7A

At least two months before the annual election of officers and directors, a nominating committee of seven realtor members is appointed by the president-elect with approval of the board of directors. The nominating committee shall be comprised of the current president-elect, one member from the board of directors, and five members from the general membership. The nominating committee shall select at least one candidate for secretary/treasurer, one candidate for each place to be filled on the board of directors, and the state director(s) position. By agreeing to serve on this committee the nominating members agree to eliminate themselves from the nominating pool. The election of officers and directors takes place at the annual members meeting.

The form 990 is prepared by an independent accounting firm based on the unaudited financial statements and related information provided by the accounting department of the organization. The executive director is given the opportunity to review the form 990 before it is filed. The board is also given the opportunity to review and ask questions regarding the form 990.

Conflicts of interest are required to be disclosed at the start of a board member's term and at any time during the year if a conflict arises. Any conflict is brought to the attention of the entire board of directors. Any board member with a potential conflict of interest would abstain from voting on any matters related to the conflict.
