Additional Explanations

Pt VI, Line 11B

The form 990 is prepared by an external cpa firm. The firm provides a draft with clarification questions to the organization.the organizationss director of accounting and executive director answer the questions and review the document. The accounting firm makes any necessary changes and provides the organization with a signature ready final document. A member of the board of directors reviews the final form 990, with the understanding that he/she would take any concerns to the board of directors. The executive director signs and approves the document.

Pt VI, Line 12C

Each member of the board of directors is required to sign a statement each year that they have read and understand the conflict of interest policy and that they agree to comply with the policy. These statements are received by the executive director and maintained in a file which is reviewed for completeness.

Pt VI, Line 15B

Through the budget process, all salaries for current and future positions are reviewed by the executive committee and, therefore, ratified and documented in the committee minutes. Any concerns regarding the salaries, including those of the organizations executive director, officers, and/or key employees would be discussed with the executive director and/or other involved officers. As key positions become available, the executive committee paticipates in the interview, selection, hiring and salary determination process.

Pt VI, Line 19

The audited financial statements, form 990, governing documents, confict of interest policy, and other documents are available to the public upon request via an e-mail to the executive director or upon request at the office of the organization.

Pt XII, Line 2C

The finance committee has the responsibility for choosing the auditor after the executive director has solicited proposals from several firms and submitted them to the committee. The committee selects three potential audit firms and then presents these proposals to the executive committee. The proposals are then reviewed with the executive director, and any required interviews take place before a final firm is selected by the board. This process is recorded in the board meeting minutes.
