“Board members kenneth tabb and maria tabb are married. They chose to leave the board in the last week of december.”
“The 990 draft was emailed to board members with a comment period and a request that each member respond during that period with either an approval or with additions/corrections. Responses were then summarized and any changes were forwarded to the tax preparer.”
“All board members, including new members, are required to sign the conflict of interest statement on an annual basis.”
“Annually, generally in may, the board president sends an executive director review form to board members, compiles the results of the comments, and meets with the executive to report the comments and recommendations of the board members. At this time the executive director submits a self-review. After a formal discussion with the executive committee, annual goals and objectives are set and remuneration is reviewed and determined. The compensation of the executive director and other key employees is consistent with others in similar organizations in the st. Louis area. Budgetary considerations are also taken into account when determining compensation.”
“The 990 is available on the candid (formerly guidestar) website.”
“Our governing documents, conflict of interest policy, and financial statements (audits and 990s) are available to the public on request.”
“The finance committee reviews the audited financial statements, selects the auditors and outside accountant, and closely monitors the financial information throughout the year.”
“The income tax status footnote in the audited financial statements reads as follows: the organization is a nonprofit organization and is exempt from income tax under section 501(c)(3) of the internal revenue code. Therefore, no provision for federal, state or local income taxes has been included in these financial statements. The organization files informational returns with the federal government. The organizations federal informational returns for the past three years remain subject to examination by the internal revenue service.”
