“The association is comprised of one class of members, all with the same rights.”
“All members in good standing may vote by secret ballot for six directors, two of which are elected each year for three year terms. A rodeo co-chairman is also elected each year by the corporate membership. That co-chairman serves a three year term as follows: a) the first year he serves as co-chairman; b) the second year he serves as rodeo chairman; c)the third year he serves as past rodeo chairman. The eleven member board of directors also includes two members elected by the organizations' related tax-exempt organization, the sikeston jaycees. Those members are the current jaycee president and the past jaycee president. As all members in good standing of both organizations are identical, these members are actually also voted by the members, one per year, for two year terms.”
“The annual meeting of the membership is held for the purpose of electing directors and any other business as may come before the meeting. Special meetings may be called by board officers, a majority of board members, or 20% of all members, if made in writing. Twenty percent of members in good standing constitute a quorum at a meeting of the membership. A simple majority of organization members in attendance must approve the annual budget. The board of directors and the rodeo committee have equal control on all matters of policy, and are responsible for implementing the budget as approved by the members in good standing. The rodeo committee is created by the majority vote of the entire board of directors after recommendation of the rodeo chairman.”
